Job summary

InvestEngine is seeking a Senior Legal Counsel to own the legal function. You will provide pragmatic advice across employment, commercial and contract law, regulatory compliance, governance, data privacy and disputes, acting as a trusted adviser to leadership and the Board.

This is a hands-on, fully remote role open to candidates based in the UK. You will draft and negotiate commercial agreements, manage a contract register and templates, advise on employment matters and policies, and help shape

Qualifications

• Qualified solicitor in England & Wales with UK legal expertise
• Senior in-house experience across employment, commercial and regulatory matters
• Breadth of knowledge: data privacy, governance and disputes
• Ability to provide concise, decision-ready advice to senior stakeholders
• Experience working with NDAs, shareholder agreements and equity-option structures
• Strong communication skills and ability to challenge senior stakeholders constructively
• Comfort working hands-on with limited resources and external advisers

Responsibilities

• Set up a proportionate legal intake and triage process with service levels
• Draft and negotiate commercial agreements; develop templates and playbooks
• Advise leadership on employment matters, policies, and settlements
• Partner with Compliance on FCA, Consumer Duty, SM&CR and outsourcing
• Advise on data privacy (UK GDPR, DPA 2018, PECR)
• Manage disputes and external counsel; maintain live disputes register
• Review shareholder agreements and equity-option docs; bring in specialist advice
• Provide leadership with visibility of material legal risks and decisions

About the Role

We’re looking for a Senior Legal Counsel to own legal at InvestEngine.

Your mission is to protect InvestEngine’s legal interests while enabling responsible commercial growth. You’ll give clear, pragmatic advice across employment, commercial and contract law, regulatory compliance and governance, data privacy, and litigation and dispute resolution, act as a trusted adviser to leadership and the Board, and turn complex issues into actionable recommendations.

This is a hands-on role reporting to Marc de Gentile-Williams, working closely with Compliance, Risk and People. This is a fully remote role, open to candidates based in the UK.

What You’ll Do

• Review our material legal exposures, key contracts and employment matters, and agree a prioritised legal plan with clear escalation thresholds

• Set up a proportionate legal intake and triage process with agreed service levels

• Draft and negotiate commercial agreements personally; build a contract register, approved templates and negotiation playbooks, including NDAs

• Advise People and leadership on employment matters, from contracts and policies to sensitive employee cases and settlements

• Partner with Compliance on FCA requirements, Consumer Duty, SM&CR and outsourcing, and give legal input to product and change decisions

• Advise on data privacy (UK GDPR, DPA 2018, PECR), including data-processing terms, transfers and incident response

• Manage disputes and external counsel, with a live disputes register and control of external legal spend

• Review shareholder agreements and employee equity-option documentation, bringing in specialist advice where needed

• Give leadership and the Board concise visibility of material legal risks and decisions required

What We’re Looking For

• Qualified solicitor in England & Wales, or an equivalent qualification with demonstrable UK legal expertise

• Senior legal experience with the breadth and judgement to own an in-house legal function

• Hands-on experience across employment, commercial and contract law, regulatory and governance matters, data privacy, and disputes

• Working knowledge of NDAs, shareholder agreements and equity-option arrangements

• Concise, decision-ready advice and the confidence to challenge senior stakeholders constructively

• Comfortable working hands-on with limited resources and using external advisers selectively

• English fluency at C1 level or above

Nice to Have

• Experience working inside an FCA-regulated firm, ideally an investment platform, wealth manager or fintech
