Responsibilities
- Manage, administer and coordinate the company secretariat activities in the TalkTalk Group, including governance practices and statutory compliance.
- Maintain the company secretarial governance, statutory registers, and legal records for group entities.
- Prepare and draft agenda, board papers, and minutes for the TopCo board.
- Ensure compliance with Companies Act 2006 and Wates Principles for Large Private Companies, advising as required.
- Serve as point of contact for all company secretariat matters, promoting consistent governance standards.
- Co‑ordinate annual report and accounts and draft Corporate Governance Report, facilitating year‑end processes and distribution to shareholders.
- Plan board information provision ahead of each fiscal year and act as legal point of contact for external auditors.
- Maintain strong working relationships with internal and external stakeholders (Finance, Reward, Regulatory and PR, Courts, TISE, Law Firms and Registrars, providing subject matter expertise).
- Manage relationship with registrars (Equiniti).
- Support General Counsel on legal matters including mergers and acquisitions, re‑financing and ad‑hoc legal projects.
- Maintain list of directors’ interests and conflicts of interest.
- Undertake ad‑hoc administrative duties for the legal team, including managing the legal budget, Workday employment requests, raising purchase orders and diary management.
Qualifications
- Previous experience in a Company Secretary or Assistant Company Secretary role (must).
- Capable of working independently.
- Ability to own, develop and improve processes.
