Job description

We are seeking a Senior Assistant Company Secretary to provide technical and administrative support to the Deputy Company Secretary and help ensure the Group complies with its corporate governance and statutory requirements.

What you will do in the role.
  • Meeting support – preparing agendas, drafting papers, compiling board packs for Board and Committee meetings; supporting the recording of meeting minutes for Board Committees.
  • Supporting the implementation of governance best practice – aiding the Deputy Company Secretary in driving governance excellence and developing and implementing corporate governance policies, procedures and practices.
  • Subsidiary compliance – overseeing management of board meetings and statutory compliance for subsidiary companies within the Group, including minute taking, drafting of resolutions, and maintaining statutory records; assisting with paper and online filings at Companies House.
  • Record keeping – maintaining accurate records of corporate actions in online portals and electronic databases, including resolutions, minutes and other relevant documents.
  • Other tasks – assisting with compliance queries relating to the Group Delegation of Authority, drafting disclosures required for annual Group and subsidiary accounts, assisting stakeholders with miscellaneous reporting requirements (Payment Practices, Modern Slavery) and managing KYC and UBO requests.
Qualifications.
  • Lawyer or Chartered Governance Institute qualified with extensive experience in a company secretarial role.
  • High level knowledge and understanding of corporate governance principles and statutory requirements.
  • Strong organisational skills and attention to detail.
  • Excellent communication, written and verbal skills.
  • Ability to engage with senior stakeholders.
  • Proficiency in Microsoft Office Suite and other relevant software.
  • Ability to work independently and as part of a team.
  • Experience with company secretarial software and databases (e.g. Board Intelligence, Diligent) essential.
