Job description

Large commercial law firm in the City is seeking to recruit a Private Capital Real Estate lawyer of between 2 and 8 years’ PQE. The team acts for both institutional and private equity clients, domestically and internationally. They sit within the main Corporate and Finance Group but work closely with the Real Estate, Real Estate Tax and Real Estate Finance teams on a daily basis. They advise on the full spectrum of indirect real estate transactions including:

• the establishment of real estate holding structures (including joint ventures/ club deals)
• real estate M&A (through the acquisition and disposal of onshore and offshore vehicles)
• equity funding, profit sharing and governance arrangements and asset and property management agreements.

The team has a fantastic client base which will provide the successful candidate the opportunity to gain experience in a broad range of matters. They are now looking to grow the team to support the growth of the PCRE practice generally. The current team has a varied background of funds, corporate and private equity experience and we are looking for candidates with similar skills or interests.

Key areas of focus for the team include:

• Real Estate Sector (ultimately everything the team works on is real estate focused. You should have experience in this sector and want to develop relationships both internally and externally)
• Onshore and Offshore Structures including limited partnerships
• Joint Ventures/ Club deals – the team has acted on a number of large scale joint venture/ club deals, focusing on development in the “Living” sector
• Real Estate M&A – structured real estate M&A is a material part of the practice and experience in this area will be important (including exposure to working with both onshore and offshore vehicles)
• Management Arrangements – being a real estate focused team, an important part of the practice is understanding the management arrangements that real estate holding structures require.

Candidates will have relevant experience in Private Capital Real Estate. This could be for either an Associate or Senior Associate level role. You will also have experience working with and/or drafting share purchase agreements, limited partnership agreements, LLP members’ agreements, shareholders’ agreements.
