A leading service provider in the UK is seeking an experienced professional to oversee service delivery to clients, focusing on corporate governance and board support. The ideal candidate will possess CGI qualifications and over six years of experience, demonstrating strong leadership and communication skills. This role requires a proactive approach and the ability to manage a team effectively. Competitive compensation offered.
Responsible for service delivery to UK clients, whether Funds or Corporate, and to be the primary point of contact. Demonstrate consolidated role-specific technical knowledge covering listed corporates and funds (in particular Investment Trusts), the Companies Act 2006, Market Abuse Regulation, The Listing Rules and Continuing Obligations including the Disclosure & Transparency Regulations and AIM rules. The UK Corporate Governance Code and AIC Code. Manages and prioritises portfolio of complex work independently, rarely requiring technical guidance. Has a professional, confident, mature working relationship with clients/intermediaries. Produces consistently high-quality work within required time frames. Confident in line management responsibilities including managing team and delegating tasks. Dynamic, self-managed and proactive at all times. Written communication is clear and concise and demonstrates considerable understanding of client structure/department context.
Draft board papers, attend and minute board, committee and shareholder meetings, travelling to client locations as required. Draft other company materials including announcements and statutory filings, as appropriate. Draft the corporate governance section of annual and semi-annual reports in conjunction with fund accountants and advisors. Provide review and comment on corporate documentation as required by client and in conjunction with other advisors. Liaise with auditors, as required. Provide a co-ordination point across JTC service delivery teams for those clients within remit and externally with third party advisors. Keep clients' records up to date and ensure all statutory registers are maintained.
