About the Role

We are seeking a highly organised and commercially aware M&A Paralegal to join our Corporate team. This is an excellent opportunity for an ambitious individual with strong transactional experience to work closely with partners and associates on high-value, cross-border M&A matters.

You will play a key role in supporting our lawyers through all stages of the transaction lifecycle, from early-stage due diligence to post-completion filings.

Key Responsibilities
  • Assisting with and managing document bundles, data rooms, and transaction checklists.
  • Conducting legal and commercial due diligence, including reviewing corporate documents, contracts, and regulatory materials.
  • Drafting and reviewing ancillary documents such as board minutes, shareholder resolutions, NDAs and Companies House forms.
  • Managing Conditions Precedent (CP) and Conditions Subsequent (CS) checklists.
  • Liaising with clients, opposing counsel, and third-party advisers.
  • Handling company searches and preparing filings with Companies House.
  • Providing administrative and organisational support throughout the transaction process.
  • Maintaining accurate records and ensuring deadlines are met.
About You
  • Minimum 12 months’ experience in a corporate or M&A role within a UK law firm (essential).
  • Strong understanding of UK company law and corporate procedures.
  • Excellent attention to detail and ability to manage multiple deadlines.
  • Confident communicator with the ability to work effectively with senior stakeholders.
  • Proficient in Microsoft Office and familiar with virtual data room platforms.
  • LPC / SQE or equivalent qualification is advantageous but not essential.
