Job Summary

We are currently looking for an experienced lawyer to join our team supporting our UK and Europe Global Banking (GB) businesses, with a focus on our Commercial Real Estate Finance (CREF) lending business and Structured Finance (SF) products.

The role will be either Legal Counsel or Senior Legal Counsel depending on experience / PQE and will be based in London, reporting to the Head of Legal, CIB Lending for UK and Europe.

Global Banking includes the following business teams: CREF, Fund Finance, Leveraged and Acquisition Finance, Private Credit, and Financing Solutions. They offer a range of syndicated and bilateral lending solutions as well as structured financing solutions including Loan on Loan / Back Leverage and securitisation structures.

You will be joining a dynamic, collaborative and solutions orientated team, working on high profile and complex transactions.

The candidate will work closely with various stakeholders in the UK and Europe as well as with Legal colleagues in the wider SCB network, where necessary.

Key Responsibilities
  • Provide legal advice to the UK and Europe CREF and the wider GB businesses as well as related stakeholders;
  • Advising on, drafting and negotiating legal documents for GB transactions including engaging with and advising relevant internal stakeholders;
  • Managing external counsel on transactions including as to costs, quality and responsiveness of advice;
  • Provide legal advice and training with respect to new GB products and initiatives for the UK / Europe;
  • Keep up to date with relevant changes in law and regulation and assist on the implementation of regulatory reform;
  • Identify, assess, manage, monitor, mitigate and report legal risks across GB in the UK / Europe;
  • Support the GB business teams with immaterial disputes that may arise from time to time;
  • Support the Legal teams in other regions of the SCB network where needed;
  • Support and implement the vision, strategy and direction for the wider SCB Legal team;
  • Support the priorities and agenda for GB businesses in the UK / Europe as well as their wider Group priorities and agenda;
  • Assist the Head of Legal, CIB Lending for Europe in:
    • representing Legal in the governance of GB related issues;
    • ensuring the effective management of legal matters across the UK and Europe GB businesses.
Skills and Experience
  • English law qualified;
  • Minimum 3+ years PQE with experience working in a top tier law firm. Experience working in a financial institution also desirable;
  • Proven experience advising, negotiating and / or drafting:
    • Cross border bilateral and syndicated (LMA) loans – experience on UK and European CREF lending transactions is particularly relevant; and
    • Structured finance facilities, in particular Loan on Loan / Back Leverage and securitisation structures also strongly preferred;
    • Experience of secondary loan trading and fronting structures preferred but not essential.
  • Knowledge of regulations directly impacting the above products (for example UK / EU Securities Regulations, UK Real Estate Laws and Regulations);
  • Commercial acumen and the ability to understand and evaluate business requirements in managing legal risk;
  • Willingness to work in a team environment whilst also working autonomously and managing your workload efficiently;
  • Strong communication and interpersonal skills.
