We are delighted to be assisting a leading US Firm who are keenly looking to supplement their Corporate team with the hire of a Private Equity Mid or Senior Associate (PQE 5-8) to join one of the most dynamic and fastest-growing Financial Sponsor practices in Europe. The London office plays a pivotal role in complex, cross-border mandates and is known for its collaborative culture, professional excellence, and long-standing commitment to developing legal talent.

Role

The Role sits within the Corporate group, focusing on sophisticated financial sponsor transactions across the UK, Europe, and internationally.

Key responsibilities

• Advising on the full investment lifecycle for financial sponsors, including acquisitions, bolt-on transactions, corporate restructurings, and exits
• Drafting and negotiating SPAs (both locked box and completion accounts), management incentive plans, shareholder agreements, and ancillary documents
• Supporting portfolio companies with legal issues specific to leveraged ownership structures
• Advising on capital structure matters, including repatriation of equity and reserved equity allocations for new joiners
• Reviewing funds flows and assisting with transaction structuring
• Managing client relationships, supervising junior team members, and driving transaction execution from term sheet through to closing

Requirements

The successful candidate will be UK qualified and will be working in or have recently worked in private practice at a similarly elite firm. They will have proven experience on financial sponsor-led deals, and will have strong drafting skills and experience with MIP documentation, SPA structures (particularly locked box), and shareholders’ agreements. They will have confidence in running deals with partner oversight, mentoring junior lawyers, and liaising directly with clients and a desire to contribute to knowledge sharing, mentoring, marketing, and pro bono initiatives. They will also have an exemplary academic record.
