Job summary

Taylor Root is recruiting for an Interim General Counsel on behalf of a global mission-led organisation. The role covers governance, risk and compliance across the Foundation and its international entities, reporting to the CEO and interacting with trustees and senior stakeholders.

Location is Central London with hybrid working (2–3 days in the London office). Initial duration is approximately six months, with a highly competitive interim package based on experience. ASAP start date.

Qualifications

• Experience in charity, foundation, NGO, or mission-led organisations is desirable.
• Strong governance and corporate secretariat expertise.
• Experience advising trustees, boards and senior leadership teams.
• International governance experience across multiple jurisdictions is essential.

Responsibilities

• Act as a trusted legal adviser to the CEO, Executive Leadership Team, trustees and board chairs.
• Provide strategic advice during the separation and support the Foundation with its new operating model.
• Lead charity governance, corporate secretariat and entity management.
• Prepare board agendas and governance papers to support Trustee decision-making.
• Act as governance gatekeeper across a multi-jurisdictional charitable structure.
• Manage the legal relationship between the Foundation and the commercial organisation.
• Partner with the General Counsel of the commercial business during the transition.
• Advise on commercial agreements, transitional arrangements and service agreements.
• Support grant, funding and general commercial contracts.
• Oversee separation-related and transaction documentation.
• Own and develop the organisational risk register.
• Help establish and maintain proportionate compliance and governance frameworks.
• Coordinate external legal advisers across jurisdictions.
• Advise on regulatory engagement and charity regulators.
