Job Description
Legal
- Serve as a legal advisor on all matters facing the E&A business, including coordinating with other in-house and external counsel, to offer pragmatic legal and business advice to leadership and corporate functions.
- Provide legal advice to the business and contracts professionals on work with the European Union/Commission and the various Directorates-General (DGs), including advising on EC procurement matters, challenges to EC procurement decisions, client and subcontractor disputes, meeting EU regulatory requirements, conflicts of interest, hiring of former government employees, and defending the company's business, legal, and contractual interests.
- Manage cross-border legal matters and provide legal and corporate governance support to remote offices: exploring legal entity registrations in new jurisdictions; evaluating legal and employment implications of short-term projects abroad; supporting local governance matters; issue-spotting cross-border compliance issues (anti-corruption, sanctions, trade, tax, etc); and obtaining local counsel advice.
- Support litigation, legal demand letters, disputes, or similar issues within the business, coordinating with external litigation counsel and leadership as needed.
- Provide employment law advice and coordinate employment-related legal matters with internal Human Resources and external employment counsel.
- Assist in reviewing business agreements, lease agreements, consortium agreements, non-disclosure agreements, employment-related agreements, subcontract documents, and client contracts with commercial, government, and inter-governmental clients.
- Support corporate transactional activities, including M&A due diligence, integration, and corporate governance matters.
- Stay current on legal and regulatory issues affecting the company.
Compliance
- Support the execution of the Ethics and Compliance program, especially concerning UK and EU government compliance (familiarity with UKBA), and inter-governmental compliance requirements (e.g., EC).
- Assist HR and Compliance teams with internal reviews of employee misconduct where appropriate.
- Work with leadership to develop legal policies and procedures.
- Provide live training on key legal, regulatory, and compliance topics.
The Successful Applicant
- Experience with EU and UK regulatory laws, public procurement law, litigation/dispute processes, competition law, anti-bribery legislation, data privacy law, and commercial contracts law is required to varying degrees, with further support from in-house and external law firms.
