Confidential in London is seeking a Corporate Paralegal to join its Financial Institutions Group. You will support Partners and Associates on a broad range of corporate matters and complex domestic and cross-border transactions.

Qualifications

  • Law degree or LPC/GDL with corporate electives.
  • 1–3 years' experience within a Corporate Paralegal or Corporate Legal Assistant role.
  • Experience supporting corporate, banking or finance transactions.
  • Knowledge of Companies House filings and corporate procedures.
  • Strong drafting and legal research abilities.
  • Excellent organisational skills and attention to detail.
  • Ability to manage multiple deadlines in a fast-paced environment.
  • Strong written and verbal communication skills.
  • Experience using legal research platforms and virtual data rooms.
  • Proactive, professional and team-focused approach.

Responsibilities

  • Support Partners and Associates on corporate, banking and finance transactions from instruction to completion.
  • Conduct legal and corporate due diligence.
  • Review constitutional documents and prepare due diligence reports.
  • Draft board minutes, shareholder resolutions and corporate authorisations.
  • Prepare completion checklists, transaction bibles and closing documentation; Manage virtual data rooms.
  • Coordinate Companies House filings and related documentation.
  • Assist with signing and completion processes, including DocuSign execution.
  • Carry out legal research using Westlaw, Lexis and Practical Law.
  • Liaise with clients, external advisers, notaries and third parties.
  • Prepare corporate profiles, document indexes and transaction records.
  • Support fee earners with general case management and administrative tasks.

Job description

A leading international law firm is seeking a Corporate Paralegal to join its highly regarded Financial Institutions Group in London. This is an excellent opportunity for a Corporate Paralegal with experience in corporate law to work on complex domestic and cross-border transactions alongside some of the industry's leading lawyers.

The successful Corporate Paralegal will support Partners and Associates on a broad range of banking, finance, mergers and acquisitions, private equity and corporate matters. This role offers exposure to sophisticated transactions, excellent mentoring and genuine long-term career development within a collaborative and fast-paced international firm.

The Corporate Paralegal's Role

The successful Corporate Paralegal will support the team across a wide range of corporate transactions and responsibilities, including:

  • Assisting with corporate, finance and transactional matters from instruction through to completion
  • Conducting legal and corporate due diligence
  • Reviewing constitutional documents and preparing due diligence reports
  • Drafting board minutes, shareholder resolutions and corporate authorisations
  • Preparing completion checklists, transaction bibles and closing documentationManaging virtual data rooms and document management throughout transactions
  • Coordinating Companies House filings, searches and statutory documentation
  • Assisting with signing and completion processes, including DocuSign execution
  • Carrying out legal research using Westlaw, Lexis and Practical Law
  • Liaising with clients, external advisers, notaries and third parties
  • Preparing corporate profiles, document indexes and transaction records
  • Supporting fee earners with general case management and administrative tasks
The Corporate Paralegal

The successful Corporate Paralegal will ideally have:

  • A Law degree, GDL or LPC with corporate electives
  • Between one and three years' experience within a Corporate Paralegal or Corporate Legal Assistant role
  • Previous experience supporting corporate, banking or finance transactions
  • Knowledge of Companies House filings and corporate procedures
  • Strong legal research and drafting skills
  • Excellent organisational skills and attention to detail
  • The ability to manage multiple deadlines in a fast-paced environment
  • Strong written and verbal communication skills
  • Experience using legal research platforms, virtual data rooms and document management systems
  • A proactive, professional and team-focused approach
