Job description

We are looking for a commercially minded Director, M&A Legal to join our Legal team in London, reporting to the VP Legal. You will provide practical legal support across mergers and acquisitions, joint ventures, growth investments and portfolio activity, helping the business make informed decisions and manage legal risk effectively. Working closely with Corporate Development, Finance, Tax, Treasury and Regulatory colleagues, you will contribute throughout the transaction lifecycle, from early evaluation and due diligence through negotiation, signing, completion and implementation. This is a great opportunity for an experienced transactional lawyer who enjoys combining technical legal expertise with commercial judgement and clear decision support. You will take responsibility for significant legal workstreams, work with colleagues and advisers across functions and jurisdictions, and help translate complex issues into practical recommendations. The role has no formal direct reports, but you will have opportunities to share knowledge, support early career colleagues and improve the precedents, playbooks and working practices used across the Legal team.

What will you be doing?
  • Providing legal support across acquisitions, disposals, joint ventures, growth investments, reorganisations and portfolio transactions
  • Managing legal workstreams from confidentiality arrangements and term sheets through due diligence, signing, completion and subsequent implementation
  • Drafting, reviewing and negotiating transaction documents and related agreements
  • Identifying material legal issues and recommending practical options that support commercial objectives
  • Partnering with Corporate Development, Finance, Tax, Treasury, Regulatory and other specialist teams to deliver coordinated outcomes
  • Managing external legal advisers and supporting proportionate and transparent oversight of legal spend
  • Preparing clear advice, risk summaries, approval papers and transaction updates for senior stakeholders
Requirements
  • Strong experience in company law, mergers and acquisitions and investment related work, gained in private practice, in house or through a combination of both
  • Experience supporting transactions through due diligence, drafting, negotiation, signing and completion
  • Strong commercial judgement and the ability to provide clear, proportionate and practical legal advice
  • Excellent drafting, negotiation, project management and organisational skills
  • The ability to manage multiple workstreams, priorities and stakeholders in a transaction environment
  • Confidence working with external advisers and coordinating legal input across functions and jurisdictions
  • Clear and concise written and verbal communication
  • A collaborative approach and the ability to build trusted relationships across legal and business teams
  • Professional legal qualification as a solicitor, barrister or equivalent legal professional in a relevant jurisdiction
Desirable
  • Experience in technology, media, content, telecoms, digital infrastructure or energy
  • Experience supporting international or cross border transactions
  • Experience supporting governance or company secretarial activities
  • Experience reviewing investment documentation and governance rights affecting portfolio value
