Job Description

As part of their expanding Corporate Team, we’re seeking a talented Corporate Paralegal to provide dedicated support to our fee earners and partners.

What you’ll be responsible for:

As a Corporate Paralegal, you will play a key role in supporting the team on a wide variety of transactional and advisory matters. Your responsibilities will include:

  • Providing administrative and legal support to solicitors and partners within the Corporate Department.
  • Assisting with the preparation, drafting, and proof-reading of corporate documents, including share purchase agreements, shareholder agreements, and business sale contracts.
  • Supporting the coordination and completion of corporate transactions, including mergers, acquisitions, disposals, and restructurings.
  • Managing due diligence exercises, including reviewing and organising corporate information and data rooms.
  • Conducting legal and company research to assist the team with transaction planning and client advice.
  • Preparing company forms, resolutions, and filings for Companies House.
  • Managing transaction documentation, signature pages, and completion checklists.
  • Assisting with client correspondence and maintaining accurate and up-to-date records, case files, and databases.
  • Scheduling and preparing for client meetings, deal completions, and internal briefings, including preparing agendas and taking minutes where required.
  • Liaising with clients, accountants, and third parties to support smooth transaction progress.
  • Carrying out any other duties as directed by your line manager or supervising solicitor.

Essential Skills & Attributes
  • Previous experience as a Paralegal within a Corporate or Commercial team (or strong academic background with relevant electives).
  • Proficient in Microsoft Office and confident with document management systems.
  • Excellent attention to detail and accuracy in drafting and reviewing documents.
  • Strong organisational skills, with the ability to prioritise competing workloads.
  • Clear and confident communicator, both written and verbal.
  • Collaborative team player with a proactive attitude.
  • Able to work well under pressure and meet deadlines.
  • Adaptable, enthusiastic, and eager to learn.
Desirable
  • Law degree, LPC, or SQE studies (or equivalent experience).
  • Understanding of corporate transactions and company law processes.
