About The Role

We are seeking an experienced Contract Counsel to join our global Legal team, supporting the negotiation and review of complex commercial agreements including SaaS, data brokerage, and data aggregation agreements as well as MSAs, SOWs and Vendor Agreements. The role will focus on ensuring compliance with applicable laws, mitigating risk, and enabling efficient commercial outcomes. The position will be based in India or UK, working closely with colleagues and customers across EMEA, the US.

Key Responsibilities
  • Draft, review, and negotiate SaaS agreements, data brokerage contracts, data aggregator and licensing agreements, as well as related DPAs, NDAs, order forms, and vendor agreements.
  • Handle contracting matters governed mainly by US law, applying knowledge of US contracting standards, liability structures, indemnity provisions, governing law, and dispute resolution approaches. An understanding of various jurisdictions would be an advantage.
  • Advise on issues relating to data protection, privacy, intellectual property, liability, and regulatory risk within commercial contracts.
  • Support internal stakeholders (Sales, Procurement, Product, IT, Finance) in structuring compliant and commercially viable deals across multiple jurisdictions.
  • Identify and elevate legal and regulatory risks, particularly relating to data use, data sharing, cross-border data transfers, and differing jurisdictional requirements.
  • Assist in building and improving contract playbooks, templates, and fallback positions.
  • Assist with contract lifecycle management improvements and process optimization.
  • Monitor legal and regulatory developments in SaaS, data markets, and cross-border contracting practices that may impact negotiations.
Qualifications & Experience
  • Law degree and current license to practice law in India or UK.
  • 4-7 years of post-qualification experience in commercial contracting, ideally within the technology, SaaS, or data services in Life Sciences.
  • Demonstrated experience negotiating SaaS, licensing, data brokerage/aggregation, technology services agreements, MSAs and SOWs.
  • Solid understanding of contracting principles (e.g. indemnities, limitation of liability, governing law, IP rights, data security provisions), with proven experience negotiating with global counterparties.
  • Strong grasp of data protection and privacy frameworks (e.g. GDPR, Indian DPDP Act, or equivalent) and how they interact with US requirements.
  • Strong contract drafting and negotiation skills with ability.
  • Experience working in an international and cross-functional environment.
  • Comfortable managing and meeting tight deadlines with a pragmatic, solutions-oriented approach.
