PURPOSE OF THE ROLE

We are looking for a highly organised and experienced Part‑Time Company Secretary to provide essential governance support to our UK entities. Working approximately two days per week—with flexibility to accommodate busier periods and occasional short‑notice tasks—you will manage statutory responsibilities, maintain accurate compliance records, and support directors and senior management across the business.

This role is ideal for someone who is confident working independently, enjoys maintaining high governance standards, and thrives in a fast‑paced, international environment. Spanish language skills are an advantage, but not essential.

KEY TASKS & RESPONSIBILITIES (include but are not limited to)
  • Serve as Company Secretary for several UK companies, ensuring full compliance with the Companies Act 2006 and governance best practices.
  • Manage all statutory filings with Companies House, including confirmation statements, director updates, and PSC register changes.
  • Prepare and maintain board, shareholder and committee documentation: notices, minutes, written resolutions, and statutory registers.
  • Maintain accurate corporate records and oversee day‑to‑day governance housekeeping.
  • Coordinate board meetings, including scheduling, circulating papers, drafting minutes, and tracking action points.
  • Support corporate restructurings, financings, and share capital updates as needed.
  • Liaise with directors, senior management, external advisers, registrars, and other stakeholders.
  • Monitor governance deadlines and ensure timely compliance across all entities.
  • Provide ad‑hoc support to the Group Company Secretary and the wider Legal & Governance team.
  • Previous experience in a company secretarial or corporate governance role, ideally across multiple entities or within an international group.
  • Strong working knowledge of the Companies Act 2006, statutory registers, filings, and governance standards.
  • Ability to independently manage end‑to‑end company secretarial responsibilities.
  • Excellent drafting skills, particularly for board minutes, resolutions, and filings.
  • Highly reliable, discreet, and comfortable handling urgent or time‑sensitive matters.
  • Strong organisational skills and meticulous attention to detail.
  • Comfortable working part‑time with a flexible distribution of hours depending on business needs.
  • Proficient in Microsoft Office; experience with Diligent, Board Intelligence, or similar platforms is a plus.
  • Commercially minded and pragmatic, with strong business acumen and the ability to balance risk with operational goals.
  • Confident communicator, comfortable working with investors and senior stakeholders.
  • Fluent in English is essential, Spanish language skills are an advantage but not essential.
