Who we are looking for
We are seeking a dedicated volunteer finance professional to join the Board of Directors as Chair of the Audit and Risk Committee (ARC). As a Director of the CIPR, you would hold legal responsibility for the governance of the Institute, helping shape its future and strategic direction. CIPR are building a diverse and inclusiveInstitute representing the communities served. Applications are encouraged from all backgrounds.
Role Description
- Chair meetings of the ARC four times per year having agreed the agendas with the CEO
- Provide advice to the Board on matters relating to finance and risk
- Lead the search for co-opted Audit and Risk Committee members (i.e. not Board members) as appropriate
- Ensure, together with the Audit and Risk Committee, that the following are properly scrutinised:
- The annual budget
- Quarterly management accounts
- Quarterly Forecasts
Person specification
- A finance professional and an understanding of organisations similar in size or remit to the CIPR is a distinct advantage, but not essential. Training will be provided as necessary following appointment.
- Willingness to ask questions about finance and probe for answers.
- An understanding of the legal duties, responsibilities, and liabilities of directorship, as well as the distinction between governance and management.
- Ability to provide sound, independent judgment.
- Willingness to voice opinions and engage in open dialogue.
- Ability to work effectively as part of a team.
- If a CIPR member, you must have completed your last CPD cycle and begun the latest. Ethical integrity must align with the Nolan Principles and adhere to the CIPR Code of Conduct.
- If not a CIPR member, you will be expected to show that you meet any CPD requirements of professional organisations of which you are a member and that you adhere to your own professional code of conduct.
Time commitment
- Attendance at four virtual meetings per year relating to the Audit and Risk Committee, each of which normally lasts two hours.
- Additional time will be required reading papers before meetings, identifying questions and seeking clarification from the Finance Manager
- Your position as a Board Member will require attendance at up to six virtual and in person meetings throughout the year. Any associated travel costs will be reimbursed in line with CIPR’s expense policy.
