Why this role matters

The role of the Assistant Company Secretary is to support the Company Secretary in overseeing the maintenance of the good standing of, and associated company secretarial support to, the current and future legal entities in the group (currently c.70 legal entities in 12 countries).

JERA Nex bp is a recently established 50/50 joint venture between bp and JERA Nex to create a strategic platform for growth, combining high-quality operating and development offshore wind assets, with total 13GW potential net generating capacity.

The Assistant Company Secretary will report directly to the JERA Nex bp Company Secretary.

In this role you will

The main accountabilities of the Assistant Company Secretary will be to support the Company Secretary on all company secretarial matters for JERA Nex bp and its direct and indirect subsidiaries. This position involves ensuring compliance with relevant legislation and managing the company's statutory books including liaison and management of work delivered through multiple third‑party suppliers. Liaise with Group Compliance in support of governance requirements of JERA Nex bp in ensuring that the company complies with legal and regulatory requirements and maintains high standards of corporate governance.

In addition, the Assistant Company Secretary will:

  • Support the Company Secretary in ensuring the company complies with its governing documents, company law, and other relevant regulations.
  • Provide briefings on corporate governance best practices and ensure effective board processes.
  • Assist in the development and implementation of subsidiary governance policy, practices, processes and guidelines.
Detailed Roles and Responsibilities
  • Ensuring that all relevant corporate governance compliance requirements are adhered to across the jurisdictions in which JERA Nex bp operates. Act as primary contact for UK subsidiaries and as liaison point for the Co Sec support in other jurisdictions.
  • Responsibility for assisting the Company Secretary on all company secretarial activities for JERA Nex bp and its subsidiaries, including convening board and committee meetings and supporting notices, agenda and pre‑read preparation and issue, organize and prepare minutes and ad hoc board, committee meetings.
  • Assisting in the production of shareholder resolutions, and supporting the Investor Relations team in providing documents for approval by the Shareholder Representatives.
  • Setting up and eliminating legal entities as required and implementing corporate changes, (appointments, share capital, registered office etc), group financing and restructurings at a legal entity level as required, maintaining and updating all statutory books, registers, records, all filings of forms, returns, documents.
  • Support the Finance Function in the maintaining of the Group Structure Chart.
  • Provide guidance to the other business Functions as needed in secretarial matters including strategic corporate actions/initiatives and support in maintaining the governance structure for incorporated joint ventures.
  • Supporting the Company Secretary and senior management of JERA Nex bp in all corporate secretarial matters and in dealing with relevant regulators and external stakeholders.
  • Taking minutes, drafting resolutions, and following up on actions from meetings.
  • Handling correspondence, collating information, and writing reports.
  • Supporting the Company Secretary in providing guidance to the Board and Board Committees and directors acting on subsidiary and incorporated JV boards in effective discharge of their duties, responsibilities and powers under various laws, rules and regulations.
  • Maintaining, in conjunction with the Insurance team, the D&O insurance policy and providing support to directors in the event of any queries or claims.
  • Interfacing with internal and statutory auditors, cost auditors and other key external stakeholders.
  • Monitoring changes in the legislative and regulatory environment and assisting the Company Secretary in ensuring appropriate dissemination of information and proactive actions to enable timely compliance and safeguarding company interests.
  • Administering the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements, e.g. Diligent Entity, SharePoint.

Education and professional background
  • Chartered Secretary or equivalent professional qualification. Professional qualifications such as CGI (Chartered Secretaries Institute)/ICSA (Institute of Chartered Secretaries and Administrators) with 3‑5 years’ PQE are highly desirable.
  • Experience in a multi‑national organisation Company Secretariat environment.
  • Previous experience in complex group environments / a start up or joint‑venture, is desirable but not required.
