As an Assistant Company Secretary, you\'ll play a vital role in ensuring statutory and regulatory compliance across our global network of 115 subsidiaries in over 45 countries. This is a dynamic and hands‑on role where you\'ll manage corporate records, support governance processes, and collaborate with stakeholders worldwide.

Global Compliance & Governance
  • Maintain statutory records for all subsidiaries globally, ensuring accuracy and completeness.
  • Oversee the subsidiary compliance tracker and lead monthly compliance meetings with service providers.
  • Support the approval and filing of financial statements and annual returns across jurisdictions.
  • Review statutory data in financial statements to ensure alignment with local legislation.
Corporate Administration & Projects
  • Manage ad‑hoc corporate changes (e.g., name changes, director changes, year‑end changes, registered office updates).
  • Support entity rationalisation projects (e.g., mergers, liquidations), liaising with internal and external stakeholders.
  • Draft board and shareholder resolutions for regular and ad‑hoc matters.
  • Draft the Modern Slavery Statement and coordinate internal approvals.
Committee & Stakeholder Support
  • Manage the Pensions Committee: prepare agendas, draft minutes, track actions, and circulate papers.
  • Support cross‑functional teams (Finance, Treasury, Tax, Facilities) with advice, company information and documentation.
  • Maintain the Gift and Entertainment register for committee reporting.
Systems & Vendor Management
  • Liaise with global providers to ensure timely filing of corporate changes and update internal systems (Athennian, Salesforce, Group Structure Chart).
  • Organise notarisation and legalisation of documents globally.
  • Prepare and arrange execution of Power of Attorneys, including obtaining board approvals.
  • Assist with vendor relationships and ensure spend aligns with the function\'s budget.
Administrative Excellence
  • Complete KYC and AML requests in line with business processes.
  • Ensure all company data is up‑to‑date, accurate, and accessible to internal stakeholders.
Qualifications
  • 5+ years of experience in a busy Corporate Secretarial team, either in‑house or in private practice.
  • ICSA/CGI qualified.
  • Strong experience maintaining and updating company secretarial databases (e.g., Athennian).
  • Proven ability to manage multiple priorities in a fast‑paced, global environment.
  • Excellent interpersonal and communication skills, with the ability to engage across all levels of the organisation.
  • Highly organised, detail‑oriented, and proactive with a flexible, can‑do attitude.
  • Comfortable working independently and collaboratively, with a strong sense of ownership and accountability.
