Job description

Ladwa Recruitment are working in partnership with an international listed company to recruit an Assistant Company Secretary, to join their busy Secretariat function.

Working for a well established organisation at their UK Head Quartered offices, this is a great opportunity to work alongside a very talented team. The Governance team supports the UK Board and its committees, executive committees and its subsidiaries in all aspects of world class and robust corporate governance and company secretarial services.

Key responsibilities include:
  • Provide broad corporate governance guidance and support to subsidiaries, directors and executive management.
  • Providing Board, committee and executive governance meeting support, as required, including drafting agendas, annual agenda planners, paper guidance, meeting pack collation and distribution and following up actions.
  • Research and assist with drafting Board and committee papers.
  • Support on annual reviews on board and committee effectiveness and evaluations.
  • Support on Non-executive Director Board appointments including inductions, onboarding and enhanced vetting.
  • Assist statutory compliance activities and filings for the UK and subsidiaries and verifying entity data, using the corporate database.

This role will ideally suit someone who is a Part-qualified or Qualified company secretary or lawyer with relevant experience in a fast paced, large and complex organisation. Also, a professional who possesses strong knowledge of corporate governance principles.

An individual who is highly organised, with strong interpersonal, verbal and written skills, someone who can handle confidential and sensitive information and has good attention to detail would be an excellent fit for this role.
