Job objective

As Senior Notary, you lead and execute complex notarial mandates for a distinguished domestic and international clientele. Your dual qualification as a licensed Swiss notary and a qualified corporate lawyer enables you to advise seamlessly on transactions that require both notarial form and substantive legal structuring. You work closely with our M&A, corporate finance, and tax practice groups, ensuring the full legal integrity of high-value transactions, corporate acts, and private arrangements.

Responsibilities

Notarial Practice

  • Authenticate and certify legal documents, deeds, contracts, and declarations in your capacity as licensed Swiss notary
  • Draft and execute public deeds for real estate transfers, company formations, capital increases, amendments to articles of association, and shareholder agreements
  • Formalize succession-related notarial acts, including wills, inheritance contracts, advance directives, and marriage contracts
  • Advise on and execute notarial aspects of M&A transactions, including share transfer deeds requiring public deed form
  • Manage filings and coordinate with commercial registries, land registries, and public authorities
  • Ensure full compliance with cantonal notarial regulations, professional secrecy obligations, and anti-money laundering requirements

Corporate Law

  • Advise on company formations, restructurings, mergers, demergers, and governance matters
  • Draft and review shareholder agreements, voting agreements, and corporate by-laws
  • Support M&A and private equity transactions from a corporate structuring and deed-execution perspective
  • Advise on capital measures including capital increases, reductions, and convertible instruments
  • Assist with cross-border corporate structures in close coordination with tax and M&A colleagues

Client Relationship & Business Development

  • Cultivate and expand long-term client relationships through proactive, high-quality service
  • Identify cross-selling opportunities across the firm’s practice areas
  • Contribute to thought leadership through articles, webinars, and representation at industry events
  • Mentor junior lawyers and trainees, fostering professional development and knowledge sharing
  • Actively use AI-driven legal tools and contribute to the firm’s ongoing innovation agenda

Requirements

Education

  • Notarial qualification (Notariatspatent) in at least one Swiss canton — mandatory
  • Excellent academic credentials; additional qualifications in corporate law or tax are a strong asset

Professional Experience

  • 7 to 15 years of relevant post-qualification experience in a notarial practice, law firm, or in-house legal function
  • Demonstrated track record of executing complex notarial mandates and corporate transactions independently
  • Exposure to M&A, private equity, or family office matters is a significant advantage

Languages

  • German — stylistically confident, legally precise written and spoken expression (mandatory)
  • English — stylistically confident, professionally fluent (mandatory)
  • French, Italian, or further languages are an asset
