Job description
Job Summary:

The Senior Paralegal and Coordinator, Legal Services provides comprehensive paralegal and operational support. This role ensures effective management of corporate legal matters, compliance programs, legal records and external counsel while driving process improvements and supporting strategic initiatives.

Key Accountabilities:
Corporate Legal Support:
  • Advise on, coordinate and draft materials for corporate annual proceedings, board and committee meetings and corporate transactions.
  • Draft and maintain corporate records and regulatory filings, and other legal department files.
  • Draft and coordinate corporate filings, resolutions, certificates and other documents as required.
  • Advise on, draft and maintain templates for standard agreements such as non-disclosure agreements and supplier agreements.
  • Conduct legal research and analysis to support legal decision-making.
  • Assist with other corporate, employment, regulatory, litigation, immigration and intellectual property matters as needed.
Legal Billing & Matter Management:
  • Lead e-billing operations including invoice review, accruals, reporting, and legal vendor management.
  • Monitor legal budgets and spend; generate reports and recommend improvements.
Contract Management:
  • Prepare specific agreements, legal documents and provide standard templates as needed, including drafting and execution of standard non-disclosure agreements.
  • Work directly with Purchasing to implement contracts using standard terms, conditions and templates, including requests to modify AMTB’s standard terms and condition and necessary contract amendments.
  • Manage and maintain current contracts database and regularly audit contract management system for its efficient and accurate contract storage and coordination of key dates. Develop, implement, and maintain improved contract management system.
Compliance Program:
  • Manage compliance training, certifications, SOP updates, and third-party due diligence processes.
  • Support rollout of corporate compliance policies and global reporting requirements.
  • Document Management
  • Maintain corporate records including minute books.
  • Maintain databases relating to contracts, transactions, litigation matters, external counsel and legal fees.
Process Improvement:
  • Implement technology solutions and best practices for legal operations and compliance efficiency.
Skills & Qualifications
Education:
  • Paralegal diploma or equivalent legal studies.
  • Licensed Paralegal in good standing with the Law Society of Ontario.
  • Additional compliance or corporate governance training is an asset.
Experience:
  • Minimum 8+ years in a corporate paralegal role (in-house or private practice)
  • Experience working in-house in a corporate legal department is an asset.
Technical:
  • Proficiency in legal billing platforms, contract management systems.
  • Proficiency in MS Office product including Excel, Work and PowerPoint.
  • Familiarity with legal technology tools.
