The Business Law practice of KPMG Law LLP is looking for a confident and driven Intermediate Corporate Law Paralegal to join its group in our Calgary office. Our Business Law group provides legal advice with respect to corporate reorganizations, private mergers and acquisitions, general corporate and commercial matters and corporate finance.


What you will do

  • Perform a variety of complex and routine legal and administrative duties while coordinating and assisting lawyers and senior paralegals in other KPMG offices with assigned matters.
  • Drafting corporate documents for incorporations, amending articles of incorporation, preparing annual returns, drafting resolutions for dividends, dissolutions, and amalgamations.
  • Drafting closing agendas, share provisions, supporting resolutions and editing agreements for corporate reorganizations.
  • Reviewing corporate records and maintaining records on corporate database, shareholder ledgers and registers, preparing appropriate rectification steps when required.
  • Drafting documents to create partnerships and limited partnerships, organizations, rollovers, changes in records and maintaining records.

What you bring to the role

  • A minimum of 5 years of corporate law experience
  • Completion of CORES Level I, Level II and Level III
  • Strong organizational skills and attention to detail
  • Decisiveness and the ability to balance the demands of an emerging practice
  • Excellent communication skills
  • Strong MS Office skills
