BDO Canada is seeking a Senior Manager to join our Transaction Tax Services team. The role supports buy-side and sell-side due diligence, tax structuring, modelling and advisory engagements across Canada, including private equity flows. This newly created position focuses on growth and expert tax counsel for complex deals.

You will lead teams, work with partners and clients, and contribute to business development while mentoring staff and expanding the practice nationwide.

Qualifications

  • CPA designation or LLB completed.
  • Master of Taxation or CPA Canada In-depth Tax program completed.
  • At least 6 years of experience in professional services, with a focus on Tax.
  • Interest in M&A transactions and a desire to deepen knowledge in this area.
  • Strong problem solving, analytical, and communication skills; English is essential for drafting documents.

Responsibilities

  • Lead sell-side and buy-side tax due diligence engagements and evaluate tax liabilities.
  • Collaborate with Partners & clients to mitigate tax exposures before sales processes.
  • Analyze complex tax issues and design tax-efficient structures for acquisitions, divestitures and reorganizations.
  • Contribute to Canadian and international private equity funds structures and management arrangements.
  • Mentor and develop engagement teams, maintain client relationships, and support business development initiatives.

Your Opportunity

BDO Canada is looking for a Senior Manager to join our growing Transaction Tax Services team. This role can be based out of any of our offices across Canada and offers an exciting opportunity to help shape and expand a dynamic practice.

As a Senior Manager, you will work closely with clients and deal teams on a wide range of transaction tax matters, including buy-side and sell-side tax due diligence, transaction structuring, tax modelling, pre-sale planning, tax-related aspects of purchase and sale agreements, post-closing matters, and other strategic transaction tax advisory engagements.

This is a newly created role that will play a key part in supporting the continued growth of our Transaction Tax Services practice across the country.

Key Accountabilities And Responsibilities
  • Lead sell-side and buy-side tax due diligence engagements to identify, evaluate and quantify potential tax liabilities and exposures and work with vendors to mitigate these exposures prior to commencing a sale process and/or with legal counsel in reviewing purchase and sale and ancillary agreements
  • Work with Partners & clients to mitigate tax exposures prior to commencing a sale process
  • Analyze complex tax issues to help design tax-efficient structures for strategic and private equity acquisitions, divestitures and reorganizations
  • Collaborate with team members on the design of Canadian and international private equity funds and related management structures
  • Analyze complex tax issues and prepare technical deliverables to outline the tax analysis and implications to clients
  • Manage and mentor engagement team members and work closely with team members located across the country
  • Maintain relationships with clients at the highest level, build positive working relationships and provide effective support for engagements
  • Contribute to the successful recruitment of new talent
  • Develop the capabilities of less experienced staff through coaching, knowledge transfer, internal training delivery, assignment of challenging work opportunities
  • Support business development initiatives, primarily in the private equity space and identify new opportunities with existing clients

Your Experience And Education
  • You have completed your CPA designation or LLB
  • Completion of Master of Taxation or CPA Canada In-depth Tax program
  • You have at least 6 years of experience in the professional services industry, with a period specializing in Tax
  • You enjoy working within M&A transactions and are keen to develop further knowledge in this area
  • Experienced with identifying issues and developing solutions, managing client expectations and engagement economics and team leadership
  • You value teamwork, client service, and quality in detailed work
  • You display strong problem solving, analytical, and communication skills
  • Due to the frequent and complex contact with our English-speaking partners and clients in Quebec and outside of Quebec, and the need to draft documents in English, knowledge of English is essential for this position
