Job summary

BMO Financial Group is seeking a senior legal/compliance professional to lead governance and regulatory programs in Toronto. The role partners with senior leadership, boards, and committees to ensure accuracy, timeliness, and compliance across corporate governance processes.

You will manage Board meeting logistics, maintain governance records, coordinate audits, and drive process improvements while upholding BMO's values.

Qualifications

  • Typically 7+ years of relevant experience in finance, risk management, legal or compliance.
  • Proficient knowledge of the business and regulatory environment.
  • Law degree preferred with focus on corporate, securities or tax law.
  • Seasoned professional with a combination of education, experience and industry knowledge.
  • Verbal & written communication skills - In-depth / Expert.

Provides services in support of legal counsel. Participates in the implementation of improvement opportunities to contribute to the effective and efficient operations of the business.   • Leads the execution of operational programs; assesses and adapts as needed to ensure quality of execution.

  • Manages timeline of activities and monitors calendar of scheduled appointments and meetings.

  • Maintains corporate records and registrations.

  • Plans, attends and executes allocated Board and Board Committee meetings and Annual General Meeting of Shareholders, including review and coordination of agendas with various stakeholders, coordination of the allocated Board and Board Committee meeting material mailing process, meeting minutes scribing, follow-up trackers, matter submission, management proxy circular, coordination of volunteers roles and medical staff allocation

  • Prepares correspondence, reports and other documents as required.

  • Develops and maintains filing systems; ensures business/ operational reports, forms and other documentation, paper or electronic, are readily available.

  • Coordinates all internal/ external audits and provides process and research support, such as personal property security and corporate searching.

  • Maintains BMO Corporate Governance website and certifies accuracy of portfolio information in Global Entity Management System (GEMS).

  • Certifies completion of compliance procedures, legal documents, and documentation to support various transactions.

  • Coordinates internal funding transactions.

  • Provides insider reporting information, including ensuring insider filing requirements and controls, and monitors the exercising of stock options as required.

  • Supports the management of projects and transactions by monitoring progress against key milestones and monitoring project expenses to ensure on budget.

  • Handles sensitive/ confidential Bank information while minimizing risk.

  • Operates effectively in a high stress environment with constantly changing expectations.

  • Builds effective relationships with internal/external stakeholders.

  • Privy to sensitive and confidential Bank Matters which may impact the Bank’s reputational risk.

  • Operates at a group/enterprise-wide level and serves as a specialist resource to senior leaders and stakeholders.

  • Applies expertise and thinks creatively to address unique or ambiguous situations and to find solutions to problems that can be complex and non-routine.

  • Implements changes in response to shifting trends.

Salary:

$103,200.00 - $192,000.00

The above represents BMO Financial Group’s pay range and type.

Salaries will vary based on factors such as location, skills, experience, education, and qualifications for the role, and may include a commission structure. Salaries for part-time roles will be pro-rated based on number of hours regularly worked. For commission roles, the salary listed above represents BMO Financial Group’s expected target for the first year in this position.

BMO Financial Group’s total compensation package will vary based on the pay type of the position and may include performance-based incentives, discretionary bonuses, as well as other perks and rewards.
