Job summary

BDC, based in Canada, seeks a Senior Legal Counsel — Specialized Financing to support the Director, Legal Affairs — Specialized Financing and to collaborate with a team of transactional lawyers handling syndicated financing, securitization and structured financing initiatives.

The candidate must have significant experience in complex financing, possess strong business acumen, and demonstrate effective negotiation and collaboration across internal partners; bilingual French/English is required.

Qualifications

  • University degree in law.
  • 4 or more years of relevant experience in financial services law.
  • Member of the Quebec Bar, Law Society of Ontario or equivalent qualification from any other Canadian province or territory.
  • Strong analytical, organization and negotiation skills.
  • Highly collaborative, with strong interpersonal skills.
  • Bilingualism (French and English) is mandatory.

Responsibilities

  • Provide clear, practical and timely legal advice on various financing matters and internal projects.
  • Negotiate business-related agreements in complex transactions or strategic partnerships.
  • Coordinate external lawyers mandated by BDC in its activities.
  • Conduct research on legal issues relevant to the business.

POSITION OVERVIEW

The Senior Legal Counsel — Specialized Financing supports the Director, Legal Affairs — Specialized Financing and collaborates with other legal counsel as part of a dedicated team of transactional lawyers who collectively support the specialized financing activities of the Bank which include syndicated financing, securitization, structured financing, subordinated debt, indirect financing, as well as certain key strategic financing initiatives of BDC and its subsidiary BDC Capital.

The candidate for this position must have significant legal experience and expertise in complex, negotiated financing transactions and structures, with experience in syndicated financing, securitization, structured financing or subordinated debt considered an important asset. In addition, the candidate must be a highly collaborative and engaged team member, embrace a culture of calculated risk-taking, continuous improvement and innovation, demonstrate a strong business-oriented approach, and possess effective negotiating skills.

This position is open to candidates based in Montréal or Toronto. Bilingualism (French and English) is mandatory.

CHALLENGES TO BE MET
  • As part of a dedicated transactional legal team, work with the various internal partner teams to provide clear, practical and timely legal advice on various financing matters and internal projects.

  • Accompany internal clients and negotiate certain business-related agreements in complex transactions or strategic partnerships.

  • Coordinate and direct, as required, external lawyers mandated by BDC in the course of its activities.

  • Conduct research on various legal issues relevant to the business.

  • Provide support, coaching, training and guidance to internal clients.

WHAT WE ARE LOOKING FOR
  • University degree in law.

  • 4 or more years of relevant experience in financial services law (particularly in syndicated financing, securitization, structured financing or subordinated debt), with experience representing institutional lenders or financial institutions considered an important asset.

  • Member of the Quebec Bar, Law Society of Ontario or equivalent qualification from any other Canadian province or territory.

  • Strong analytical, organization and negotiation skills, including the ability to manage multiple concurrent files and prioritize effectively.

  • Highly collaborative, with strong interpersonal skills.

  • Ability to analyze and synthesize complex and ambiguous information to provide clear, actionable, business-oriented legal advice.

  • Able to quickly gain credibility with business partners.

  • Excellent judgment and creative problem-solving skills, with a practical, risk-based approach to legal advice.

  • Bilingualism (French and English) is mandatory. The incumbent must be able to practise at a high professional level in both languages, including drafting, negotiating and advising internal clients.
