Job summary

Purpose Unlimited is seeking a Senior Legal Counsel for Investment Funds to provide strategic legal and regulatory guidance on public funds and exempt market offerings in Canada. You will partner with product development, portfolio management and distribution teams while ensuring adherence to securities laws and compliance with regulators.

The role requires 5–8 years of securities experience, in-house or at a top firm, and a law degree with good standing in a Canadian law society.

Qualifications

• Five to eight years of legal experience with exposure to securities regulation and investment funds.
• In-depth knowledge of Canadian securities regulatory framework for mutual funds, ETFs and dealers.
• Strong interpersonal and communication skills to influence and collaborate across functions.

Responsibilities

• Advise on structuring, organization, launch and ongoing operation of public investment funds under NI 81-102/101/106.
• Draft and maintain prospectuses, fund facts, MRFPs and related regulatory filings.
• Advise on governance, investment restrictions, valuation, conflicts of interest and IRC matters.
• Provide legal support for exempt market and OM funds, including subscriptions and disclosures.

Who You are

Senior Legal Counsel, Investment Funds, provides strategic legal and regulatory advice in support of the organization’s public investment funds and its exempt market / offering memorandum (OM) funds.

Senior Legal Counsel enables the organization’s product development, portfolio management, , and distribution teams, while coordinating with and advising compliance tomaintain investment fund activities adherence with Canadian securities laws and regulatory requirements.

Senior Legal Counsel coordinates with internal stakeholders and external counsel to provide practical, value-added legal advice to the organization.

Responsibilities: What you will do

Public Funds (NI 81-102)

Advise on the structuring, organization, launch, and ongoing operation of public investment funds subject to NI 81-102, NI 81-101, NI 81-106, and related Canadian securities legislation.

Draft, review, and maintain public fund disclosure documents, including prospectuses, fund facts, MRFPs, material change reports, and related regulatory filings.

Advise on fund governance matters, including investment restrictions, valuation, conflicts of interest, and Independent Review Committee (IRC) matters.

Support continuous disclosure obligations and filings with securities regulators in coordination with compliance and regulatory teams.

Exempt / OM Funds

Provide legal advice for exempt market and OM funds, including fund structuring, organization, amendments, offering memoranda, subscription agreements, and investor disclosures.

Advise on compliance with exempt market rules, prospectus exemptions, and applicable CSA guidance.

Support investor communications for private funds.

Regulatory & Business Advisory

Advise on legal and regulatory risk and disclosure issues related to fund operations.

Governance, Risk & External Counsel Management

Support investment fund governance frameworks, policies, and procedures.

Assist with regulatory reviews, audits, and inquiries by securities regulators relating to investment fund matters.

Qualifications: What you will bring

LL.B. or J.D. and member in good standing with a Canadian law society (Ontario

preferred).

Five to eight years of legal experience, with significant exposure to securities

regulation and investment funds preferably gained in house or at a major Canadian law firm.

In-depth knowledge of Canadian securities regulatory framework, especially as it pertains to mutual funds, ETFs, and investment dealers.

Strong interpersonal and communication skills, with the ability to influence and

collaborate across functions
