Job summary

EY in Quebec City is seeking a Manager, Financial Diligence to lead due diligence engagements for acquisitions and divestitures. The role partners with clients across Canada and the US, and requires strong analytical, communication and leadership skills.

You’ll mentor junior staff, manage project timelines, and contribute to the growth of EY-Parthenon’s Financial Diligence practice. Bilingual French/English is required; travel will be expected.

Qualifications

  • Bilingual in French and English required for client interactions.
  • 6+ years of experience with at least 2 years in diligence.
  • Bachelor's or Master's Degree in Accounting; CPA/CA certification.
  • Proficiency with analytics tools: PowerBI and Alteryx.
  • Strong written and verbal communication and teamwork.

Responsibilities

  • Lead due diligence engagements related to acquisitions or divestments.
  • Analyse financial and operational results and interview management.
  • Identify GAAP issues and valuation impacts of the target.
  • Assess carve-out issues for buy-side or sell-side projects.
  • Support deal structuring, price reductions, and post-closing steps.
  • Develop staff, provide feedback and conduct performance reviews.

You’ll be part of the Financial Diligence team which provides clients with the financial and strategic transaction assistance to ensure the success of their transaction. Our FD teams assist clients throughout the entire transaction process. While traditional financial due diligence is a key element of the service, FD is much broader, incorporating transaction management, negotiation and documentation, and post-completion integration.

Your key responsibilities

Our team of strategic advisors sits at the heart of a global team of transaction specialists who deliver high quality advice to our clients. Our team works to understand profit drivers and trends, challenge assumptions of future performance, and assist with purchase agreements and post-closing transaction matters.

Skills and attributes for success
  • Participate and play a leadership role in due diligence engagements related to acquisitions or divestments by private equity investor groups and strategic corporate players.
  • Analyse financial/operational results of targets through analysis of operational accounting records and conducting interviews with management.
  • Identify and quantify GAAP issues as they relate to the valuation of the target.
  • Analyse carve-out issues, as applicable relating to a buy-side or sell-side project.
  • Identify issues for purchase price reductions, deal structuring or deal termination.
  • Identify post-acquisition/divestiture action steps.
  • Evaluate effects of seasonality on cash flow requirements.
  • Perform industry and company research.
  • Correlate due diligence findings with client valuations and manage expectations of service.
  • Develop people including supervising staff effectively, providing constructive feedback/training and conduct performance reviews.
  • Build strong relationships across service lines, manage cross-functional collaboration and delivery.
To qualify for the role, you must have
  • This role involves interaction with clients operating nationally and globally. Bilingualism in both French and English is therefore a requirement of this role.
  • Minimum 6 years of experience with 2 years of diligence experience.
  • Bachelor's or Master's Degree in Accounting and/or related major.
  • CPA or CA, CPA certification (or equivalent)
  • Proficiency with analytics tools strongly preferred: familiarity with PowerBI for data visualization and Alteryx for data preparation.
  • Effective written and verbal communication skills.
  • Strong analytical and interpersonal skills.
  • Dedication to teamwork.
  • Strong work initiative and the ability to adapt to new challenges and ideas.
  • Willingness to team and learn.
  • The successful candidate must be willing and able to travel within Canada and US.
