Job summary

MNP’s Legal & Risk Management team seeks a Legal Counsel - Technology & Digital (Commercial Contracts) to support our IT and digital initiatives, focusing on software licenses, cloud engagements and data privacy. You will draft, review and negotiate a wide range of agreements, provide risk-based advice, and collaborate with IT and outside counsel to enable the firm’s technology strategy.

The role requires at least four years post-call experience, Saskatchewan Bar admission, and a pragmatic,

Qualifications

  • Minimum four years post-call experience in technology/commercial contracts.
  • Bar admission in the province where work will be performed.
  • Extensive drafting and negotiating software licensing and cloud agreements.
  • Experience with IP, privacy, and AI-related technologies.
  • Strong business judgment with pragmatic risk-based advice.

Responsibilities

  • Support IT resource group and digital practice in software procurement and delivery.
  • Draft, review, and negotiate software licensing, MSA, SaaS and cloud agreements.
  • Advise on risk allocation and commercial strategy in complex contracts.
  • Mitigate regulatory risk and ensure firmwide compliance.
  • Develop templates and scalable contracting processes.

Responsibilities
  • Play a key role in supporting our Information Technology resource group as well as our Digital practice, focusing on the full lifecycle of software procurement and digital service delivery
  • Act as a trusted advisor, providing practical, solution-oriented advice across a broad range of matters in support of our operations, with a particular focus on technology and digital areas, including without limitation, software procurement, digital services delivery, data privacy and cybersecurity
  • Apply a strong understanding of the legislative landscape to proactively identify and mitigate risk and ensure firmwide compliance
  • Draft, review, and negotiate a wide range of agreements, including, without limitation, software licensing agreements, master services agreements, RFPs/RFIs etc., SaaS agreements, system implementation agreements, cloud-based engagements, managed services agreements, and other related digital and technology agreements
  • Advise on risk allocation, commercial strategy and practical mitigation approaches, including in situations where terms are highly prescriptive or non-negotiable (e.g., large enterprise or public sector contracts)
  • Advise on a broad range of legal matters, including emerging technology risks, including AI-enabled tools privacy, and security
  • Research, analyze and prepare concise briefs on regulatory, legal and compliance issues, as well as other ad hoc matters, to inform stakeholders and guide decision-making
  • Develop working relationships with a variety of stakeholders and work effectively with outside counsel
  • Develop a thorough understanding of MNP’s services, businesses and industry
  • Contribute to the development of new ideas and approaches to improve work processes, including templates, playbooks and scalable contracting processes
  • Provide guidance on emerging technology risks, including AI-enabled tools, data usage and related legal and ethical considerations
Skills And Experience
  • A minimum of four (4) years post-call experience, depending on depth of relevant technology and commercial contracting experience
  • Member in good standing with the Law Society in the province where the work will be performed
  • Extensive experience in drafting, reviewing, and negotiating a wide range of agreements; particularly in software licensing, hosted/ cloud-based product agreements, professional services contracts, and maintenance and support agreements, integration and implementation agreements
  • Experience with intellectual property, privacy/data protection, and emerging technologies (including AI)
  • Strong business judgment with the ability to provide pragmatic, risk-based advice in fast-paced environments
