Reporting to the Assistant General Counsel, Capital Markets and Financial Services, this role has legal responsibility for strategic advice and leadership on the following matters: securities law, sustainability, corporate finance, governance, financial services and instruments, and other strategic initiatives. As a member of Nutrien’s skilled and experienced legal team the successful candidate must possess in‑depth capital markets knowledge and related skills, the confidence to work independently, a commitment to excellence and strong interpersonal skills as a valued contributor to a team. The position requires a collaborative approach with stakeholders to identify and manage risk in alignment with Nutrien’s business strategies.

What you will do:
  • Provide strategic advice on U.S. and Canadian securities law matters and complex capital markets transactions.
  • Serve as the primary contact in drafting and reviewing public disclosures and corporate communications, including earnings releases and news releases.
  • Provide advice on mergers and acquisitions and other strategic transactions.
  • Advise on corporate secretarial and subsidiary governance matters.
  • Draft, review and negotiate transactional agreements and other commercial documents.
  • Draft and review presentations for senior management and the Nutrien Board of Directors.
  • Review, advise and deploy training on emerging industry trends and legal developments to further Nutrien’s compliance best practices and risk management in the areas of securities law and mandatory reporting.
  • Participate in and lead other corporate legal work as required.
  • Comply with all Nutrien standards, policies and procedures including but not limited to the Nutrien Code of Conduct, respect in the workplace policies, safety, health and environment policies and other applicable policies and practices as implemented or amended.
  • Travel both within North America and globally may be required.
What you will bring:
  • The successful candidate must have a Law Degree (LLB/JD) and be a practising member in good standing with the Law Society of Alberta.
  • 4–8 years of private practice or in‑house experience (or a combination) with a focus on securities law and capital markets transactions at a leading law firm or large listed company.
  • In‑depth knowledge of securities law and regulation, including continuous disclosure and finance matters.
  • Experience with syndicated lending, leveraged finance, infrastructure finance, customer credit and securitizations would be considered an asset.
  • Experience with M&A and complex international business transactions considered an asset.
  • Keen analytical and problem‑solving skills with demonstrated ability to understand the broader economic, strategic and operational issues affecting the business.
  • Exceptional communication and negotiation skills with a well‑developed ability to simplify and explain complex legal issues to colleagues of varying seniority.
  • Excellent relationship‑building and interpersonal skills based on a foundation of trust and integrity.
  • A strategic mindset connecting tailored advice to both broad and specific organisational risks and strategy.
  • Ability to prioritise tasks in a fast‑paced environment, manage a broad range of daily interactions and address unexpected projects with condensed timelines.
  • Good judgement in working with stakeholders occasionally under ambiguous or challenging circumstances.
  • Detail oriented with solid work ethic and initiative.
  • Ability to effectively collaborate with stakeholders, identify risk and provide practical advice and solutions with an understanding of overall business objectives.
