Job summary

PointClickCare is seeking a senior commercial lawyer for a hybrid role in the Greater Toronto Area. Reporting to the VP, Contracts & Legal, you will draft and negotiate services, product and technology agreements, including master services, partnerships, and SaaS licenses.

The role emphasizes strong negotiation, corporate governance support, and strategic transactions, with an emphasis on healthcare IT licensing, privacy compliance, and practical risk management in a fast-paced environment.

Qualifications

• JD and active member of an applicable law society or a U.S. state bar.
• 5+ years of experience in commercial legal practice with exposure to corporate matters.
• Proven ability to independently negotiate complex business transactions under deadlines.
• Analyze and resolve sophisticated legal and business issues with practical solutions.
• Excellent attention to detail with strong business acumen and a proactive mindset.
• Flexibility to contribute across the Legal Department's responsibilities and adapt to evolving needs.
• Experience supporting corporate governance matters, including board approvals and intercompany matters.
• Experience supporting strategic transactions, including acquisitions and complex partnerships.
• Healthcare IT licensing, SaaS licensing, privacy compliance (PHIPA/HIPAA).

Responsibilities

Travel to Office expectations

For Remote Roles

If this role is remote, there will be in-office events that will require travel to and from the Mississauga and/or Salt Lake City office. These will include, but not limited to, onboarding, team events, semi-annual and annual team meetings.

For Hybrid Roles

Position Summary:

Reporting to the VP, Contracts & Legal, your primary duties would include assisting with general commercial matters, including, but not limited to, the drafting and negotiating of services, new product and technology-related agreements, including master services agreements, partnership agreements, confidentiality agreements, business associate agreements, SaaS agreements, data protection agreements, software licenses, subcontractor agreements, supplier agreements, and related statements of work. The role will also support corporate legal matters, including subsidiary governance, intercompany arrangements, and strategic transactions. The role requires a professional who thrives in a fast-paced environment, has the ability to manage multiple priorities simultaneously, and can balance legal risk with practical business considerations.

• JD and active member of an applicable law society or a U.S. state bar
• 5+ years of experience in commercial legal practice, with exposure to corporate legal matters
• Proven ability to independently negotiate complex business transactions under tight deadlines
• Demonstrated capacity to analyze and resolve sophisticated legal and business issues with practical, commercially minded solutions
• Exceptional attention to detail combined with strong business acumen, intellectual curiosity, adaptability, and a proactive, results-oriented mindset
• Flexibility to contribute across the Legal Department's full range of responsibilities and to adapt to evolving business needs
• Keen judgment, integrity, discretion, and tact in handling sensitive matters
• Excellent analytical, written, and verbal communication skills, with the ability to present complex information clearly and persuasively
• Self-starter with the ability to work independently while remaining highly collaborative and solutions-driven
• Strong interpersonal skills with a persuasive and influential style, fostering trust and alignment with internal stakeholders
• Demonstrated client service orientation and ability to balance legal risk with business objectives
• Experience or strong interest in process improvement, legal technology, and emerging areas such as artificial intelligence
• Experience supporting corporate governance matters, including board and shareholder approvals, resolutions, and maintenance of corporate records and minute books. Experience advising on legal entity management, intercompany matters, and internal delegation or approval processes.
• Experience supporting strategic transactions, including acquisitions, investments, reorganizations, and complex commercial partnerships
