Primary Object of the Position :

Under the supervision and guidance of the General Counsel & Corporate Secretary the Legal Counsel will be a key contributor to Cargojets operations providing strategic legal support across a range of corporate commercial and regulatory matters. As a trusted business partner the Legal Counsel advises internal stakeholders and senior leadership on legal risk compliance and governance matters to support Cargojets growth and operational excellence.

This position is ideal for a lawyer with 46 years of experience seeking to deepen their expertise in a dynamic publicly traded aviation environment while contributing to a high-performance team that values integrity collaboration and innovation.

Principal Duties and Responsibilities
  • Legal Advisory & Contracting
    • Draft review and negotiate a wide range of commercial agreements in collaboration with internal stakeholders across Finance Procurement Operations HR and senior leadership.
    • Provide strategic legal advice on domestic and international transactions including regulatory compliance risk management and corporate structuring matters.
    • Advise on complex contractual and operational issues including aircraft leasing financing and logistics arrangements.
  • Board of Directors & Continuous Disclosure
    • Support Cargojets Board of Directors meetings including development of agendas minutes of meetings work plans materials resolutions policies and mandates.
    • Support the preparation and drafting of Cargojets Annual Information Form Management Information Circular Quarterly and Annual Reports and other public disclosures.
  • Litigation & External Counsel Relations
    • Manage and coordinate litigation and dispute resolution files including preparation of case summaries liaising with external counsel and ensuring timely response to inquiries.
  • Legal Operations & Administration
    • Maintain and update contract management databases and tracking systems.
    • Compile proofread and revise legal and governance documents reports and presentations for internal and external use.
    • Contribute to process improvements within the legal function including document management and workflow efficiency.
Minimum Qualifications
  • LLB or J.D. from an accredited Canadian law school.
  • Member in good standing of the Law Society of Ontario.
  • 46 years of experience in corporate / commercial law with a mix of private practice and in-house experience preferred.
