We are seeking a lawyer to join our team as Legal Counsel in Calgary Alberta or Houston Texas.

This position will report to the Associate General Counsel and be primarily responsible for delivering day‑to‑day legal support to Tidal Energy Marketing (Tidal), an Enbridge company, that provides comprehensive marketing services for crude oil, condensate, natural gas liquids (NGLs), natural gas, renewable natural gas and power. The Legal Counsel will offer commercial, regulatory, compliance, and litigation related legal guidance concerning physical and financial energy commodities trading supported by Tidal in Canada and the US as required.

What You Will Do:
  • Draft, negotiate, and review various commodity trading agreements and related documentation for over‑the‑counter physically and financially settled commodity transactions, including but not limited to ISDA Master Agreements, NAESBs, GasEDIs, Wellhead Purchase Agreements, NGL Master Agreements, Power EEIs, NAEMAs, WSPPs, Master Trade Agreements, long‑form crude oil purchase confirmations under various company‑specific general terms and conditions, and other power and environmental trading agreements.
  • Draft, negotiate, and review confidentiality agreements, memorandums of understanding, letters of intent, facility development, blending, terminalling, transloading, throughput and operating agreements, transportation and storage agreements, storage agreements, pipeline capacity releases, asset management arrangements, offtake agreements, railcar lease and sublease agreements, trucking / transportation agreements, and broker agreements.
  • Draft, negotiate, review, and advise on all legal aspects of guarantees, letters of credit, master netting and setoff agreements, and other credit support agreements.
  • Interpret financial reform regulations (Canadian Derivatives and US Dodd‑Frank) impacting end users engaging in energy commodity derivatives trading and assist with the implementation of documentation to satisfy compliance obligations.
  • Advise business on prospective merger and acquisition activity, including due diligence on targeted assets, draft and negotiate purchase and sale agreements, assignment and novation agreements, and other required transfer documentation.
  • Coordinate with Legal and Compliance colleagues and members of other internal groups (including Operations, EH&S, Finance, Risk, Audit, etc.) on preventing and detecting violations and promoting a culture of compliance.
  • Ensure compliance with CAD import/export and US export control and sanctions laws.
  • Evaluate relevant compliance and regulatory legal issues and assist with any regulatory or compliance investigations or claims concerning the business.
Who You Are:
  • Canadian, Commonwealth or US law degree, call to the bar and a membership in good standing with the Law Society of Alberta or the State of Texas.
  • Minimum of four to six years of related legal experience.
  • Ability to work both independently and as a team player.
  • Excellent oral and written communication skills.
  • Ability to adapt quickly, prioritize effectively and have a well‑developed level of common sense and business acumen.
  • Ability to work discreetly, particularly when conducting investigations into potentially sensitive or confidential matters.
Physical Requirements:

Included but not limited to: Grasping, kneeling, light‑to‑moderate lifting (objects up to 20 pounds), reaching above shoulder, repetitive motion, typing, sitting, standing, visual requirement (able to see screens, detect color coding, read fine print), hearing requirement and the ability to sit at a computer for long periods of time.
