Job summary

Shoppers Drug Mart in Toronto is seeking an experienced Law Clerk to support the coordination and execution of legal documents and franchise agreements within the business.

You will draft templates, conduct due diligence, manage contracts and liaise with IT and internal teams. The hybrid model requires four in-office days per week and ongoing collaboration with the legal department.

Qualifications

• Completion of Institute of Law Clerks of Ontario Law Clerk Program.
• Minimum 5 years of experience in a Law Clerk role preferred.
• Excellent analytical, organizational and problem-solving skills.
• Superb communication skills, both written and verbal.

Responsibilities

• First point of contact for business requests relating to franchise documents.
• Review and revise franchise disclosure packages.
• Conduct and report on due diligence searches.
• Draft transactional agreements relating to franchise grants, renewals, amendments, asset purchases, etc.
• Ensure that security registrations are made and maintained.

The Law Clerk will provide support in the coordination and execution of legal documentation, agreements, and initiatives within the business.

Please note Loblaw's hybrid work model is 4 days in office

WHAT YOU'LL DO:

Transactions & Projects:

• First point of contact for business requests relating to franchise documents
• Review and revise franchise disclosure packages
• Conduct and report on due diligence searches
• Draft transactional agreements relating to franchise grants, renewals, amendments, asset purchases, etc.
• Ensure that security registrations are made and maintained
• Liaise with business colleagues to ensure execution and retention of key contracts
• Work with in-house legal counsel on various transactions and projects

Document Templates:

• Create and revise template documents, including those relating to franchise grants, asset purchase transactions and share purchase transactions
• Update franchise disclosure documents on an annual basis, including executing internal verification procedures to capture changes in material facts
• Update franchise manual as necessary

Processes and Tools:

• Maintain precedent database/version control
• Ongoing contact with IT department to implement new technologies and improve contract compilation tools
• Champion records management processes

WHAT YOU BRING:

• Completion of Institute of Law Clerks of Ontario Law Clerk Program
• Minimum 5 years of experience in a Law Clerk rolepreferred
• Excellent analytical, organizational and problem-solving skills
• Superb communication skills, both written and verbal
• Strong relationship building skills both internal and external of the legal department
• Team player, comfortable in a highly collaborative environment
• Keen attention to detail, Process-oriented
• Proficient with MS Office Suite
• Strong interest in, and experience with, new technologies for law practice management
