Job description

The Law Clerk will report directly to the Associate General Counsel and will be responsible for providing general corporate, commercial, real estate and transactional legal support.

DUTIES & RESPONSIBILITIES

1) Reporting & Filings

  • Coordinate and assist with preparation and filing of annual corporate documentation
  • Prepare and file securities, regulatory and corporate documents with government authorities
  • Maintain procedure guides for the corporate secretary’s office
  • Prepare resolutions and related corporate documents
  • Assist with providing required information and compliance reporting
  • Provide support on various corporate transactions, as required

2) Board of Directors Support

  • Coordinate and assist with shareholders’ and directors’ meetings
  • Prepare and coordinate board materials for the board of directors and board committees
  • Maintain minute books and corporate records for public and private companies

3) Internal Stakeholder Support

  • Respond to information requests from tax, finance, operations and other internal groups
  • Ensure a high standard of service and timely delivery of requested information

4) Real Estate and Litigation Support

  • Coordinate with external counsel to facilitate real estate transactions, including acquisitions, dispositions and financings (secured and unsecured)
  • Coordinate with external counsel in the management of litigation files

5) Administrative Support

  • Arrange and coordinate meetings
  • Format and coordinate reports
  • Maintain filing systems and chronology files
  • Carry out special projects, as assigned
  • Perform any other job-related duties and/or projects, as assigned.

Skills, Knowledge, Experience and Education

  • Law Clerk Diploma/Certificate or equivalent
  • Minimum 3 years of experience in a law firm or in-house legal department in real estate, corporate, commercial and/or securities law
  • Strong working knowledge of Microsoft Office applications (Word, Outlook, Excel)
  • Knowledge of corporate entity management systems is an asset
