Job description
Our client is a Vancouver-based technology company that provides last mile delivery services across Canada. They are seeking an In-House Counsel to join their growing team.
Key Responsibilities
  1. Provide governance advice to senior management, the Board of Directors, and the Executive, including:
    • Best practices,
    • Development of governance policies,
    • Decision-making authority of various Governance Bodies,
    • Decision-making processes;
  2. Offer legal advice on issues such as legal liability, contracts, policy development, labour and employment law, and administrative law.
  3. Identify procedures and practices to mitigate legal risks and assist with risk assessment and management.
  4. Provide strategic legal counsel and services directly to the Executive.
  5. Review and advise on contractual matters, including contracts, agreements, and leases.
  6. Provide legal support to faculties and administrative units upon request.
  7. Manage external legal counsel as needed.
  8. Advise on labour relations and employment law in collaboration with external counsel.
  9. Represent the company in mediations, arbitrations, and before administrative tribunals when appropriate.
  10. Participate in special projects and initiatives as required.
  11. Liaise with external counsel on litigation; maintain corporate records and administer shares and stock options.
  12. Draft and maintain corporate resolutions.
  13. Assist in fundraising efforts, including reviewing term sheets and advising on capital structure.
Qualifications
  1. Law degree and eligibility to practice law in British Columbia.
  2. Membership in good standing or eligibility with the Law Society of British Columbia.
  3. Experience in the public sector is preferred.
  4. Deep knowledge of contract law, including drafting and reviewing various agreements.
  5. Experience in policy development and risk management.
  6. Strong negotiation skills.
  7. Ability to interpret and apply legal policies and procedures.
  8. Excellent written and verbal communication skills.
  9. Experience in employment law and handling human rights issues.
  10. Effective listening skills and a consultative management style.
  11. Ability to build constructive relationships inside and outside the organization.
  12. Diplomatic, tactful, and patient in high-tension situations.
  13. Team-oriented with the ability to work independently and make tough decisions.
  14. Sound judgment in handling high-level issues.
