Our client is a Vancouver-based technology company that provides last mile delivery services across Canada. They are seeking an In-House Counsel to join their growing team.
Key Responsibilities
- Provide governance advice to senior management, the Board of Directors, and the Executive, including:
- Best practices,
- Development of governance policies,
- Decision-making authority of various Governance Bodies,
- Decision-making processes;
- Offer legal advice on issues such as legal liability, contracts, policy development, labour and employment law, and administrative law.
- Identify procedures and practices to mitigate legal risks and assist with risk assessment and management.
- Provide strategic legal counsel and services directly to the Executive.
- Review and advise on contractual matters, including contracts, agreements, and leases.
- Provide legal support to faculties and administrative units upon request.
- Manage external legal counsel as needed.
- Advise on labour relations and employment law in collaboration with external counsel.
- Represent the company in mediations, arbitrations, and before administrative tribunals when appropriate.
- Participate in special projects and initiatives as required.
- Liaise with external counsel on litigation; maintain corporate records and administer shares and stock options.
- Draft and maintain corporate resolutions.
- Assist in fundraising efforts, including reviewing term sheets and advising on capital structure.
Qualifications
- Law degree and eligibility to practice law in British Columbia.
- Membership in good standing or eligibility with the Law Society of British Columbia.
- Experience in the public sector is preferred.
- Deep knowledge of contract law, including drafting and reviewing various agreements.
- Experience in policy development and risk management.
- Strong negotiation skills.
- Ability to interpret and apply legal policies and procedures.
- Excellent written and verbal communication skills.
- Experience in employment law and handling human rights issues.
- Effective listening skills and a consultative management style.
- Ability to build constructive relationships inside and outside the organization.
