Job summary

Spin Master International B.V. is seeking an Associate Counsel in Ontario to advise on securities, treasury/finance, tax, M&A and corporate governance matters. The role covers multi-jurisdictional projects and requires strong drafting and coordination with internal teams.

You will support from LOIs to closing, manage governance initiatives across countries, and liaise with external counsel on complex transactions. Ontario bar and 3–5 years in corporate law are expected.

Qualifications

• LL.B. or J.D. in good standing, admitted to Bar in a Canadian province.
• 3-5 years of corporate law, securities and M&A experience.
• Strong knowledge of continuous disclosure, corporate finance and governance.

Responsibilities

• Provide counsel in securities, treasury/finance, tax, M&A, corporate governance.
• Assist with LOIs, due diligence, negotiations, closing, and drafting complex agreements.
• Manage governance projects across multiple countries and liaise with external counsel.
