Job Description

We presently have an opportunity for a Paralegal to join our team at our head Yorkdale office for a contract role for a fixed-term 12-18-month contract term . The successful candidate will have 4-5 years experience in a multi-jurisdictional company specifically with operations in Canada and the United States. The successful candidate has a demonstrated ability to sustain attention to detail a focus on accuracy in their work product and agility in adapting to a changing work environment.

Job Responsibilities
  • Work with the Corporate Secretary and General Counsel to maintain accurate and up-to-date corporate records for a large portfolio of entities and ensure all information is properly recorded and managed within the company’s legal entity management system (e.g. Diligent).
  • Work with the Corporate Secretary and General Counsel to maintain and monitor legal entities across all jurisdictions to ensure they remain in good standing. This includes regular communication with registered agents to confirm the timely filing of annual returns and other regulatory requirements while also preparing and submitting certain filings in-house as needed.
  • Work with the Corporate Secretary and General Counsel to draft and manage various corporate transactions and legal agreements work together with internal and external counsel as needed ensuring complete and accurate legal documentation. This includes but is not limited to; loan agreements service agreements share transfer agreements option agreements and subscription agreements.
  • Prepare and maintain governance and organizational documents of the corporate minute books in conjunction with legal counsel i.e. articles and certificate of incorporation by‑laws operating agreements various resolutions meeting minutes share certificates share / stock registers.
  • Support responses to due diligence regulatory and audit inquiries.
  • Conduct biannual reconciliations between the legal entity management system internal accounting records and physical or digital minute books to ensure consistency and resolve discrepancies.
Other tasks may include :
  • Manage the formation of new legal entities coordinating with multiple internal and external departments to ensure smooth and compliant setup. (Corporations Partnerships Limited Liability Companies Not-for-profit Corporations Trusts Unlimited Liability Companies)
  • Coordinate the dissolution of legal entities.
  • Coordinate corporate reorganizations.
  • Trademark and Patent renewals.
  • Provide support for annual general meetings.
Qualifications & Skills
  • Bachelors degree
  • Valid Ontario Notary License
  • Law clerk designation will be a benefit
  • Experience working as a paralegal in a large corporate legal setting or law firm
  • Background supporting mergers acquisitions reorganizations entity formations dissolutions
  • Experience with global entity management and corporate governance
  • Experience using legal entity management software (e.g. Diligent) would be a benefit
  • Excellent organizational and recordkeeping abilities
  • Excellent verbal and written communications skills
  • Strong understanding of corporate law and compliance requirements
  • Proficient in drafting resolutions minutes and standard legal agreements
