As the Corporate Paralegal, you will play a key role in ensuring the smooth and efficient management of Fintel Connect’s legal and contract processes. You will be responsible for managing the lifecycle of contractual agreements across all key organizational relationships, including clients, partners, publishers and suppliers. This includes preparation, maintenance, documentation, review, and organization of client and vendor agreements, support of negotiation efforts, and ensuring all documentation is accurate, current, and compliant with internal policies.

You will collaborate closely with all departments including leadership, client services, marketing, IT, technical and revenue teams, acting as the central point of contact for legal coordination. For specialized or complex legal issues, you will work directly with our outsourced legal counsel to support timely and compliant resolutions.

Success in this role means maintaining high standards of accuracy, efficiency, and confidentiality, while helping streamline the contract process to enable the business to operate smoothly and effectively.

The Responsibilities:
Contract Administration, Legal Coordination & Compliance
  • Manage the full lifecycle of client, partner, and vendor contracts, including drafting, reviewing, and coordinating execution.
  • Maintain a centralized contract repository with accurate version control and document tracking.
  • Monitor and manage key contract dates such as renewals, expirations, and compliance milestones.
  • Manage updates and addendums as mandated by the business and changing priorities, market conditions, or regulatory expectations.
  • Manage any specific requests included in contracts such as security requirements, compliance questions, or ongoing obligations related to security assessments, penetration testing, or certifications.
  • Serve as the internal liaison for legal and compliance inquiries, escalating to external counsel as needed.
  • Ensure company templates, NDAs, and agreements remain current and aligned with business needs and regulatory standards.
  • Support compliance efforts related to client and partner agreements, maintaining adherence to data protection and confidentiality standards.
Negotiation Support:
  • Assist with contract negotiations by preparing redlines, reviewing standard terms, and coordinating approvals within internal stakeholders.
  • Support the revenue and client services teams by summarizing key legal or commercial terms in clear business language.
  • Collaborate with external legal counsel for complex or escalated matters, exercising sound judgment to know when and how to elevate appropriately.
Corporate and Regulatory Compliance:
  • Maintain the company’s corporate records, including minutes, bylaws, shareholders and director resolutions.
  • Ensure timely filing of annual and other corporate documents with Corporation Canada.
  • Track and renew the company’s business licenses and permits.
  • Track and document corporate authorization (i.e signing authorities, board resolutions).
  • Support with audits or inquiries from CRA and provincial authorities.
Cross-Department Collaboration:
  • Partner with client services, operations, and leadership to ensure contract terms align with business processes.
  • Provide administrative support during client onboarding or renewals that involve contractual updates.
  • Facilitate communication between internal teams and external counsel to maintain efficiency and alignment.
  • Process and Documentation Improvement: Help enhance contract workflows, approval processes, and documentation systems for improved efficiency.
  • Maintain and update standard templates and checklists to ensure consistency across agreements.
The Qualifications:
  • Post-secondary education in law, business administration, or a related field (paralegal certification a requirement).
  • 3+ years of experience in a paralegal, legal coordinator, or contracts administration role, preferably within SaaS, marketing, or financial services.
  • Strong understanding of contract law, corporate documentation, and negotiation processes.
  • Experience coordinating with external legal counsel and managing document workflows.
  • Excellent organizational skills with strong attention to detail and follow-through.
  • Proficiency in contract management systems or CRMs (e.g., HubSpot, Ironclad, Docusign or similar).
  • Exceptional written and verbal communication skills with the ability to translate legal concepts into clear business language.
  • Highly organized, proactive, and able to manage multiple priorities with minimal supervision.
