Job summary

Borden Ladner Gervais LLP in Toronto is recruiting a resourceful Corporate Law Clerk with a growth mindset to support our Charities and Not-for-Profit team. You will contribute to high-value client service while collaborating with lawyers and staff.

You will prepare and file corporate documents, manage client relationships, and assist with not-for-profit transactions. We offer a hybrid work environment, professional development, and a commitment to diversity.

Qualifications

  • Minimum 5 years experience as a Corporate Law Clerk.
  • Experience with not-for-profit clients is preferred.
  • Strong communication, interpersonal and time management skills.
  • Bilingualism is an asset.

Responsibilities

  • Prepare and file corporate documentation for incorporations, amendments, continuances, amalgamations, dissolutions and not-for-profit transactions.
  • Manage client relationships.
  • Prepare annual corporate maintenance for not-for-profit corporations.
  • Assist in identifying necessary filings, searches and documentation for transactions.
  • Support lawyers with drafting corporate documents and conducting searches.

Key responsibilities of this role are:
  • Prepare and file corporate documentation relating to incorporations, amendments, continuances, amalgamations, dissolutions, changes in corporate structure and transactions governed by the Canada Not-for-Profit Corporations Act and the Ontario Not-For-Profit Corporations Act, 2010
  • Manage client relationships
  • Prepare annual corporate maintenance for not-for-profit corporations
  • Assist in identifying necessary and appropriate corporate documentation, searches and filing requirements in connection with the completion of transactions
  • Provide support to lawyers in connection with drafting corporate documents, conducting searches, pulling reports and other matters relating to transactions in the not-for-profit sector
What you will bring to this role:
  • Minimum 5 years experience as a Corporate Law Clerk, with a strong focus on charitable and not-for-profit clients
  • Knowledge of for-profit corporations will be considered an asset
  • Strong work ethic, continuous improvement mindset and a self-starter in a fast-paced environment
  • Bilingualism will be considered an asset
  • Excellent communication, interpersonal and time management skills

The expected salary range for this position is $90,000 - $120,000, depending on level of experience, region/location, and other factors.
