Job summary

Libra Software Group in Toronto is seeking a Corporate Counsel to support Libra's legal needs across North America. The role requires in-office presence 2-3 days a week, with potential for fully remote work anywhere in Canada.

You will advise on commercial contracts, licensing, SaaS, and IP matters, help develop corporate policies, and work closely with senior management on governance and strategic initiatives.

Qualifications

  • Strong written and verbal communication, drafting and negotiation skills.

Responsibilities

  • Provide legal advisory services on a broad range of commercial contracts including licensing, SaaS, hosting, cloud, services, leases and distribution.
  • Facilitate legal entity management and corporate governance with regional colleagues.
  • Develop and implement corporate compliance policies and processes.
  • Develop standard form agreements for Libra's products and services in support of initiatives.
  • Assist on other legal matters as needed.

Position Description

Libra is looking for a Corporate Counsel (the “Position”) who will be an integral member of the Libra legal team. The Position will be responsible for supporting the legal needs within Libra, currently comprising of four unique businesses covering a broad range of jurisdictions, but primarily North America, on a variety of commercial matters across the Libra portfolio. In the Position, you will work closely with members of the senior management team within the portfolio. The successful candidate will report to the head of legal at Libra.

The office location is in Toronto (near Spadina and Adelaide), and the Position would be required to be in the office at least 2-3 days per week, though this may be reduced over time. For the right candidate, we would consider a fully remote work environment; as such, this person could be based anywhere in Canada.

Duties and Responsibilities
  • Provide a full suite of legal advisory services to the T&S Segment, including the review and negotiations of a broad range of commercial contracts on behalf of various internal lines of business, such as technology and intellectual property licensing, SaaS, hosting, cloud, professional services, support services and service level agreements, consulting services, leases, purchasing, distribution, reseller, revenue share among others.
  • Facilitate legal entity management and corporate governance related issues and work closely with other regional legal experts who provide legal entity support.
  • Develop, draft and implement appropriate corporate compliance policies and processes.
  • Work with business lines to develop and maintain standard form agreements for products and services offered by the company in support of pivotal initiatives and in the ordinary course.
  • Assist where needed on other legal matters from time to time.
Qualifications
  • Qualified legal professional with 4 to 5 years of relevant legal work experience.
  • Admission to practice law in Canada or the U.S.
  • Knowledge and experience in drafting, negotiating, structuring and advising on various types of commercial contracts and other transactions relating to software licensing and related services.
  • Good overall understanding of intellectual property law and other technology-related legal principles is an asset.
  • Outstanding critical thinking skills, integrity and written and verbal communication, negotiation and drafting skills.
  • Excellent analytical and problem-solving skills and attention to detail.
  • Team oriented and able to establish relationships with all levels of the organization.
  • Ability to work independently.

Salary range is between $125,000-$145,000 CAD
