Overview

ISS-STOXX is seeking a Research Analyst to join our Corporate Governance team in Toronto, Canada. This role will incorporate a specialized focus on M&A transactions and related issues. This is a unique opportunity to join our leading Corporate Governance Research team. It offers a potential career path toward a senior research role or other leadership roles in an exciting, multifaceted, and growing company.

Responsibilities
  • Conduct basic and advanced analytical governance research for annual and special shareholder meetings, managing workload to meet client SLA deliverables in a timely manner.
  • Analyze financial and corporate governance information and issue proxy vote recommendations based on ISS’ Canadian market-specific policy guidelines.
  • Respond to internal and external client/issuer inquiries on M&A issues, research reports, and voting recommendations, and discuss corporate governance principles, M&A-related transactions, and policy issues as needed.
  • Contribute to or complete market-specific or client-requested reports and policy-related projects.
  • Participate in team projects and conduct research to support policy formulation and educate internal analysts on M&A issues.
  • Maintain reference documents and data on M&A transactions in Canada.
  • Identify opportunities to enhance the department’s service offerings.
  • Demonstrate a well-developed (advanced for VP) understanding of shareholder and corporate governance issues, including the Canadian M&A environment, through fundamental research and engagement with company executives and institutional investors.
  • Provide support to sales and account management teams to enhance the client service experience.
  • Monitor and assess compliance with regional SAS-70 audits as directed by regional team leadership.
  • Collaborate with Corporate Technology to develop, enhance, and test current and new applications to benefit clients, research offerings, and the company as a whole.
  • Identify process improvement opportunities and help formulate standards for analyzing M&A transactions in Canada.
  • Contribute to working committees and projects.
  • Review research-related work produced by other analysts.
Qualifications
  • Bachelor’s degree in finance, Economics, or Business.
  • Must have experience with M&A, and minimum of 2 years of full-time experience in financial analysis or 3 or more years of experience in corporate governance, investment analysis, or research.
  • Demonstrated understanding of corporate governance issues, corporate transactions, capital markets, corporate law, and/or securities regulation.
  • Strong time management skills.
  • Ability to work effectively with clients and colleagues at various staff and management levels across departments and functions.
  • Excellent writing, research, and proofreading skills with strong attention to detail and well-developed oral and written communication abilities.
  • Solid understanding of business technology; experience working with technology in an operational context is strongly preferred.
  • Strong computer literacy with excellent knowledge of MS Office and proficiency in Bloomberg; knowledge of SQL is a plus.
  • Enthusiasm for innovation and a proactive attitude.
