Job summary

Element Fleet Management, the world’s largest publicly traded pure-play automotive fleet manager, is seeking a commercial counsel to support its U.S. and Canadian business.

You will negotiate client and vendor agreements, advise cross-functional teams, and manage complex contracts with a focus on data security and regulatory compliance. This hybrid Toronto-based role requires a JD, active bar admission, and at least five years of experience in commercial contracts.

This takes hard work and innovation, and we need more like-minded people on our team.*Bring practical commercial legal counsel to complex client, vendor, and cross-border matters across Element’s U.S. and Canadian business.* **THE OPPORTUNITY** Commercial legal support plays an important role in enabling business growth while protecting Element’s legal and commercial interests.As Assistant General Counsel, you will provide senior commercial legal counsel for Element’s U.S. and Canadian business, with primary accountability for negotiating client and vendor agreements and advising business partners on complex contractual matters.This is an individual-contributor role for a commercial and transactional lawyer who can independently manage complex matters, bring practical and risk-informed advice to business partners, and improve the effectiveness and consistency of legal support. **WHAT YOU WILL OWN** * Lead the negotiation and drafting of client-facing commercial agreements, including master lease agreements, master services agreements, confidentiality agreements, amendments, and related ancillary documents.* Partner with Sales, Finance, Risk, and other stakeholders on contract terms, negotiation strategy, client issues, compliance considerations, contract interpretation, and commercial disputes.* Collaborate with Legal colleagues on cross-border transactions, including master lease and master services agreements and related syndication and securitization matters.* Draft and negotiate vendor, procurement, sourcing, and partner agreements, and advise stakeholders on contractual terms, legal and compliance risks, data security expectations, regulatory obligations, and negotiation strategy.* Serve as a front-line legal resource for contract-related business inquiries, disputes, and escalated issues, and provide legal support for assigned product areas, new products and services, RFP/RFI responses, and relevant training.* Improve legal processes and contracting practices to strengthen consistency and effectiveness, while monitoring legal and regulatory developments affecting vehicle management and leasing and advising stakeholders on potential implications. **YOU SHOULD CONSIDER THIS ROLE IF:** You bring strong commercial and transactional legal experience, sound judgement, and the ability to translate complex legal issues into practical business guidance.* You have a Juris Doctor (JD) from an accredited U.S. law school or a JD/LLB from an accredited Canadian law school.* You are actively admitted and in good standing with the bar of at least one U.S. state or Canadian province or territory.* You bring at least five years of experience negotiating and drafting commercial contracts.* You have demonstrated commercial and transactional legal experience, including the ability to independently manage complex matters and competing priorities.* You exercise sound legal and commercial judgement on complex matters and provide practical, risk-informed recommendations.* You can analyze complex and sometimes ambiguous legal and business issues, evaluate alternatives, and develop pragmatic solutions.* You build effective cross-functional relationships, influence without formal authority, and communicate clearly and persuasively in writing and verbally. This range represents the Company's good-faith estimate of the expected base salary at the time of posting. Salary ranges may vary based on the geographic location where the work is performed. Actual compensation will be determined based on several factors, including the successful candidate's qualifications, knowledge, skills, experience, internal pay equity, and relevant market data. In addition to base salary, eligible employees may participate in annual incentive programs, including bonuses, commissions, or other incentive compensation, as applicable to the role.
