Job summary

Spring Health seeks a Staff Commercial Counsel to draft, review, and negotiate a broad range of commercial agreements in a fast-paced, regulated healthcare environment. You will partner with Sales, Customer Success, and other teams to move matters forward while managing risk with pragmatic business judgment.

This is a remote, full-time role with occasional travel. You will provide guidance on contract interpretation, renewals, and governance, and help improve contracting processes and policies

Qualifications

• J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
• 4+ years of relevant legal experience in healthcare, health-tech, technology, or other regulated organizations.
• Demonstrated experience drafting, reviewing, and negotiating commercial contracts.
• Ability to identify and assess legal and business issues and provide practical recommendations.

Responsibilities

• Draft, review, negotiate, and execute a broad range of commercial agreements, including customer and vendor agreements and NDAs.
• Partner with Sales, Customer Success, and internal teams on transactions that support company growth.
• Provide practical, business-oriented legal guidance on contract matters and risk allocation.
• Support contract administration, renewals tracking, and execution of legal documents.
• Review third-party terms and negotiate vendor agreements.
• Collaborate with Privacy, Compliance, Regulatory, Security, and Operations throughout the contract process.
