Job summary

Propel Recruitment is seeking an experienced Legal Counsel to join a mission-driven ASX-listed fintech. In this standalone role, you will partner with the CEO, CFO and Board to shape strategy while safeguarding compliance and governance, operating in a hybrid Sydney setting.

You will manage corporate governance, ASX compliance, privacy and consumer law, and lead negotiations on complex contracts and strategic partnerships. A hands-on, senior leader mindset is essential.

Qualifications

• 5+ years PQE in financial services, fintech or ASX-listed environment.
• Strong grounding in corporate, financial services, consumer and privacy law.
• Commercially minded with a pragmatic approach to risk and opportunity.
• Confident partnering with senior executives and Board members.
• Hands-on, proactive standalone legal function.

Responsibilities

• Act as principal legal advisor to CEO, CFO and Board on corporate, commercial and regulatory matters.
• Own governance and company secretarial functions.
• Advise on ASX listing rules, financial services regulation, privacy and consumer law.
• Draft, review and negotiate complex commercial contracts and partnerships.
• Liaise with external counsel and regulators (ASIC, ASX, OAIC, AFCA).
• Support product development, partnerships and M&A.
• Partner with Risk & Compliance to strengthen governance frameworks.
• Monitor regulatory change and drive proactive compliance.

We're seeking an experienced Legal Counsel to join the leadership team in a standalone role. This is a rare opportunity to lead the legal agenda for a listed fintech — partnering closely with the CEO, CFO and Board to shape strategy while safeguarding compliance and governance.

Key Responsibilities

• Act as principal legal advisor to the CEO, CFO and Board on corporate, commercial and regulatory matters

• Advise on ASX listing rules, financial services regulation, privacy and consumer law
• Draft, review and negotiate complex commercial contracts and strategic partnerships

About You
