Siemens Healthineers Canada seeks a Senior Legal Counsel to serve as trusted advisor to the General Counsel, Canada, leading complex commercial transactions and partnerships while managing legal, regulatory, compliance and reputational risk in a highly regulated healthcare environment.

You will draft and negotiate terms, advise senior leaders, oversee disputes, support governance and M&A, and mentor the Legal Team while collaborating with global colleagues.

Qualifikationen

  • Licensed to practise law in Canada and in good standing with a Canadian Law Society.
  • 12+ years of corporate and commercial legal experience in a sophisticated in-house department or law firm.
  • Demonstrated ability to independently lead complex, high‑value and high‑risk transactions.
  • Advanced contract drafting and negotiation with complex risk allocation and non-standard contracts.
  • Ability to communicate legal risk and recommendations clearly to business leaders.
  • Ability to manage competing priorities with sound judgment and limited supervision.

  • Occasional domestic and international travel.

Aufgaben

  • Lead the legal strategy and negotiation of complex commercial transactions involving medical devices, digital solutions, software and services.
  • Direct complex public- and private-sector sales transactions, including RFx, procurements and strategic sourcing with hospitals and government entities.
  • Draft, review and negotiate material terms including liability, indemnities, warranties, cybersecurity, privacy and IP.
  • Advise Sales, Finance, Service, Procurement and senior leadership on legal, regulatory and compliance matters.
  • Provide strategic, risk-based advice on Canadian healthcare, privacy and regulatory matters.
  • Manage disputes and direct external counsel as needed.
  • Support governance, M&A and other significant corporate matters.
  • Mentor and develop the Legal Team and share expertise across the organization.

The Senior Legal Counsel is a trusted advisor and senior deputy to the General Counsel, Canada, partnering with senior leaders to enable business growth, manage enterprise risk and support the achievement of strategic objectives across the organization. The role leads complex, high-value commercial transactions and complex partnerships, enabling business objectives while managing legal, regulatory, compliance and reputational risk in a highly regulated healthcare environment.

As Senior Legal Counsel, you will be responsible for:

  • Leading the legal strategy, structuring, negotiation and execution of complex commercial transactions involving medical devices, digital solutions, software, services, consumables, research collaborations and strategic partnerships.
  • Directing complex public- and private-sector sales transactions, including RFx negotiated procurements and other strategic sourcing initiatives involving hospitals, government entities and group purchasing organizations, from initial strategy and risk assessment through drafting, negotiation, internal approvals, execution, implementation and post-signing matters.
  • Developing practical transaction structures, negotiating positions and risk-mitigation strategies that support business objectives while appropriately managing legal risk and protecting the company’s long-term interests.
  • Drafting, reviewing and negotiating material and non-standard contractual terms, including liability, indemnities, warranties, service levels, cybersecurity, privacy, intellectual property, regulatory obligations and termination rights.
  • Advising Sales, Finance, Service, Procurement and senior leadership on legal, regulatory, compliance and reputational risk, commercial trade-offs, recommended courses of action, key business decisions and approval requirements in clear, practical terms.
  • Providing strategic, practical and risk-based advice on Canadian healthcare, privacy, cybersecurity, competition, corporate, regulatory and compliance matters.
  • Providing independent, business-oriented legal counsel and constructive challenge when proposed approaches create disproportionate legal, regulatory, compliance or reputational risk.
  • Serving as a senior legal advisor on significant matters involving hospitals, group purchasing organizations, government entities, private clinics and other public- and private-sector customers and partners.
  • Managing significant disputes and directing external counsel where required, including legal strategy, scope, performance and cost oversight.
  • Supporting corporate governance, strategic projects, procurement, mergers and acquisitions, and other significant corporate matters as required.
  • Leading selected areas of legal expertise or legal operations improvement, which may include compliance, privacy, cybersecurity, procurement, lobbying, regulatory matters, contract templates, training, legal processes and risk-management frameworks.
  • Serving as a senior member of the Legal Team, sharing expertise, mentoring colleagues and contributing to the continued development of legal capabilities, processes, standards and best practices.
  • Building effective relationships with Canadian, North American and global business and legal colleagues and supporting consistent legal practices across the organization.

Required skills to have for success in this role:

  • Licensed to practise law in Canada and a member in good standing with a Canadian Law Society.
  • 12+ years of corporate and commercial legal experience gained in a sophisticated in-house legal department, leading law firm, or a combination of both.
  • Demonstrated ability to independently lead complex, high-value and high-risk transactions from strategy and initial assessment through negotiation, execution and post-signing matters.
  • Advanced contract drafting and negotiation skills, including experience with complex risk allocation, non-standard customer contracts and formal public procurement processes.
  • Proven ability to communicate legal risk, commercial implications and recommendations to business leaders in clear, practical and decision-oriented terms.
  • Demonstrated ability to manage competing priorities and deliver consistently high-quality work with sound judgment and limited supervision.
  • Highest standards of integrity, ethics, accountability and professional judgment.
  • Ability to travel occasionally, domestically and internationally as business needs require.

Preferred skills to have for success in this role:

  • Experience supporting OEM, medical technology, healthcare, life sciences or other highly regulated industries.
  • Expertise in one or more of public procurement, government contracting, compliance, medical device regulation, privacy, cybersecurity, intellectual property or digital health.
  • Experience working effectively in a global, matrixed organization and contributing to cross-border or enterprise-wide strategic initiatives.
  • Experience managing significant disputes and external counsel.
  • Professional proficiency in French.
  • Enjoyment of working in an intercultural environment with colleagues and stakeholders from around the world.
