Qualifications

• 5+ years’ post-qualification experience at a top-tier Corporate/M&A practice.
• Experience drafting and negotiating SPAs, asset and share purchase agreements, joint venture documents.
• Advising on corporate governance, restructuring and foreign ownership regimes.
• Coordinating regulatory approvals with regional authorities.
• Leading and managing buy-side and sell-side due diligence.

Responsibilities

• Draft and negotiate core M&A transaction documents for cross-border deals.
• Coordinate regulatory filings with ADGM FSRA, DFSA and SCA as required.
• Lead due diligence workstreams and integration planning on assignments.
• Support on pre- and post-completion corporate secretarial matters across zones.
• Provide strategic legal advice and maintain client relationships on assignments.
