Qualifications

• Admitted to practice law in at least one U.S. jurisdiction with M&A experience.
• Experience drafting and negotiating M&A agreements, including SPAs and asset purchase agreements.
• Knowledge of securities laws, corporate governance, and regulatory compliance.

Responsibilities

• Draft, review, and negotiate definitive agreements and ancillary transaction documents
• Conduct legal due diligence for mergers, acquisitions, and divestitures
• Advise on corporate governance, compliance, and regulatory matters
• Coordinate with internal stakeholders to align legal strategy with business objectives
• Provide guidance on transaction structure, risk allocation, and deal terms
