Qualifications

  • Evidence of working towards Institute of Chartered Secretaries and Administrators (ICSA) Qualification.
  • Detailed knowledge and understanding of ADCB's Banking channels and business lines.

About the business area, Group Compliance & Governance:

Compliance is an independent function at ADCB which takes an active approach to risk management and monitoring, ensuring the Bank complies with applicable laws, regulations, rules and market standards. The Group creates, implements and monitors policies and procedures designed to prevent or detect financial crime and any compliance breaches of the Bank, its employees and clients. It also monitors and measures the impact of conduct risk and compliance on the Bank’s risk appetite and profile.

In this role, your key responsibilities include
  • To assist the Senior Corporate Secretary in the development of ADCB’s Group governance framework and to facilitate the smooth operations of the Bank’s Board and its Committees, in addition to facilitating communication between and amongst Board and management to ensure that the Bank delivers upon its commercial and customer priorities
  • Assist the Senior Corporate Secretary by contributing to the design and implementation of the Board Secretariat’s strategy in line with ADCB’s vision, mission and business focus areas
  • Assist the Senior Corporate Secretary in ensuring the Bank understands its governance framework and support the development of effective and efficient governance strategy, plans and programs across ADCB to facilitate appropriate governance and stewardship
  • Assist the Senior Corporate Secretary in managing ADCB’s Board Secretariat function to ensure the smooth and effective operation of the Bank’s Board and committees to the required standard
  • Provide input to improve Board/Board Committees’ effectiveness and overall governance by ensuring effective communication and information flow between and amongst the Board and senior managers and ensure Board/Board Committees’ directions are followed up, and assist management in understanding the requirements and directions of the Board and its committees
  • Identify governance issues and suggest efforts to improve the Bank’s governance framework
  • Support the Bank’s company secretarial activities, both for the Public Joint Stock Company (PJSC) and all subsidiaries to the required standard
  • Assist the Senior Corporate Secretary to ensure the resilience of the businesses in the event of a crisis/disaster with an adequate, comprehensive, current and valid Business Continuity Management system
  • Adhere to all relevant organisational and departmental policies, processes, standard operating procedures and instructions so that work is carried out to the required standard and in a consistent manner while delivering the required standard of service to customers and stakeholders
The ideal candidate should have the following experience:
  • At least 6 years of experience in governance-related roles in a Bank or a listed company
  • Minimum Qualifications Bachelor’s Degree in Law, Accountancy, Finance or Business Administration
  • Professional Qualifications Evidence of working towards Institute of Chartered Secretaries and Administrators (ICSA) Qualification
  • Knowledge and Skills Detailed knowledge and understanding of ADCB’s Banking channels and business lines
  • Good/developing understanding of the governance and regulatory frameworks relevant to ADCB and their impact and implications for the Bank
  • Good/developing understanding of governance, company secretarial practices, regional and international best practices and adequate knowledge of companies law, applicable regulations, and corporate administration
