The American Heart Association offers an excellent opportunity for a Sr. Legal Counsel – International in Dallas, Texas, preferred; other locations considered.

Responsibilities
  1. Support the Association’s international business operations and domestic corporate sponsorship agreements.
  2. Handle legal matters related to international issues, including trademarks, contracting with foreign entities, labor laws, anti-money laundering, FCPA compliance, licensing, registrations, and regulatory and tax compliance abroad.
  3. Collaborate with multiple departments such as Finance, International Healthcare Business Solutions, HR, Business Technology, and Communications.
  4. Be a creative problem-solver, a fast learner, and a relationship builder, supporting our mission through various delivery models.
Qualifications
  1. Licensed to practice law in Texas (or other jurisdictions considered).
  2. At least 8 years of experience in contract drafting, negotiation, and review, with knowledge of intellectual property, trademarks, regulatory compliance, corporate governance, and healthcare operations.
  3. Experience with international business contracts and managing outside counsel.
  4. Fluency in Arabic, with the ability to negotiate and draft agreements in Arabic.
  5. Understanding of US IRS regulations for 501(c)(3) public charities and their subsidiaries.
  6. Ability to handle complex issues and work under short-term constraints.
  7. Experience negotiating technology agreements, especially with healthcare entities in the EMEA region.
  8. Knowledge of data privacy laws, cross-border data transfer, intellectual property, and import/export laws.
  9. Understanding of international tax considerations, including transfer pricing.
  10. Experience managing local counsel across jurisdictions and working collaboratively with diverse teams.
  11. Ability to simplify complex legal material for non-legal staff and deliver training.
  12. Strong organizational skills and attention to detail.
