Headquartered in the UAE, this position is based in their Dubai office.

Your new role

The firm is seeking a dynamic and detail-oriented Legal Counsel to join its in-house legal team. This role is integral to managing the firm's legal affairs and supporting its operational and compliance functions. The successful candidate will provide expert legal guidance on corporate, transactional, and regulatory matters, ensuring the firm's activities align with applicable laws and internal policies.

Your Duties

  • Provide legal support on investment transactions, including overseeing legal due diligence and managing documentation for strategic investments.
  • Draft, review, and negotiate term sheets and definitive agreements for investments, partnerships, and commercial ventures.
  • Conduct legal due diligence to ensure compliance with regulatory frameworks and mitigate associated risks.
  • Advise on corporate governance matters, including board and shareholder communications and consents.
  • Collaborate with external legal counsel, fund administrators, auditors, and other service providers.
  • Review and implement internal policies, including those related to employment and financial compliance.
  • Support regulatory compliance efforts, including reporting and documentation in line with ADGM FSRA requirements.
  • Maintain corporate records and registration details for the firm and its affiliated entities.
  • Manage regulatory filings across jurisdictions where the firm operates.
  • Assist with investor relations and ensure legal compliance with reporting obligations.
  • Provide day-to-day legal advice on commercial and contractual matters.
  • Conduct legal research to support new initiatives and business strategies.
  • Stay current with relevant securities laws, financial regulations, and compliance standards.
What You'll Need to Succeed
  • Minimum of 2 years' legal experience at a top-tier law firm or in-house at a leading investment firm, with a focus on venture capital, private equity, or M&A.
  • Law degree from a reputable institution with strong academic credentials and a licence to practice law.
  • Excellent written and verbal communication skills in English; Arabic proficiency is a plus.
  • Strong analytical skills with a basic understanding of financial concepts.
  • Familiarity with ADGM regulations and knowledge of other relevant jurisdictions is advantageous.
  • Proactive, collaborative, and results-driven with strong time management skills.
